Goodwin, widely regarded as a ‘leader in REIT-related deals’ and a ‘powerful force in technology transactions’, has continued to consolidate its position in its key sectors. Richard Kline, who splits his time between Silicon Valley and San Francisco, chairs the California capital markets group and is a ‘technology specialist’; he acted alongside debt capital markets co-chair James Barri, ‘a fantastic lawyer’ based between Boston and New York, to advise Atlassian on its $1bn private offering of convertible senior bonds. The same team assisted Zendesk with its $575m convertible senior notes offering. The firm has also been developing an underwriter-side practice, and has recently advised banks on offerings in the REIT, technology and life sciences sectors. REITs co-chair Ettore Santucci, who works out of the Boston and New York offices, is also recommended.

Goodwin's 'team has the depth and breadth to assess and address the complex issues of REIT structuring, operations and qualifications'. It advises both public and private REITs and real estate investment bankers on equity and debt offerings for existing clients, IPOs, M&A transactions and complex joint venture investments. Key clients include LaSalle Hotel Properties, Boston Properties, Brookfield Financial Properties, Gaming & Leisure Properties, Medical Properties Trust and Prologis. The practice acted for LaSalle Hotel Properties, a multi-operator REIT that owns, redevelops and repositions upscale hotels, in its merger agreement with Pebblebrook Hotel Trust; and advised Medical Properties Trust on its high-value joint venture agreement with Primonial Group. It also assisted Gaming and Leisure Properties, a REIT specializing in casino properties, with its simultaneously entering into purchase and sale agreements, and new and amended master leases. Gilbert Menna and Ettore Santucci, who divide their time between Boston and New York, co-chair the firm’s REITs and real estate M&A practice; also highly regarded are New York partner Yoel Kranz and Boston's Marc Lazar.
