Christopher K. Fargo is a partner in Cravath’s Tax Department. His practice includes advising clients on the tax aspects of mergers and acquisitions, reorganizations, securities offerings and joint ventures. The team at New York-based Cravath, Swaine & Moore LLP provides expertise in tax-efficient structures for domestic and international transactions, including mergers, spin-offs, joint ventures, private equity deals and internal restructurings. It is led by Stephen Gordon, who is assisting Barrick Gold in connection with its pending $18.3bn merger with Randgold Resources. In another highlight, Lauren Angelilli provided tax advice to AveXis in connection with its $8.7bn acquisition by Novartis. She is also working with up-and-coming partner Kara Mungovan, advising GKN plc in connection with the £8.1bn unsolicited offer from Melrose Industries to acquire the company. J Leonard Teti II is also advising Novartis, in connection with its pending $2.1bn acquisition of Endocyte. Andrew Needham advised Brookfield Asset Management on its $1.3bn acquisition of TerraForm Global. In Latin American work, Christopher Fargo advised Banco Santander on the $528m sale by its wholly owned subsidiary, Banco Popular Español, of TotalBank to Banco de Crédito e Inversiones. Of counsel Michael Schler is recommended.

Led by ‘well-known tax figure’ Stephen Gordon, the tax department of Cravath, Swaine & Moore LLP houses ‘one of the strongest transactional tax groups in New York’ and was particularly active and a number of standout public and private M&A, joint ventures and investments . ‘Technically excellent and commercially astute’, Gordon advised Northrop Grumman Corporation on the $9.2bn acquisition of Orbital ATK, and also assisted Time Warner with its $109bn sale to AT&T. Christopher Fargo served as tax counsel to Warner Media in connection with its investment in NewTV, as part of its $1bn initial funding round. He also acted for Cincinnati Bell alongside Andrew Needham (who has ‘a wealth of knowledge and experience in a wide-variety of tax areas’) in relation to its $650m combination with Hawaiian Telcom. Elsewhere, J Leonard Teti II acted for in its $1bn acquisition of Ring, and Kara Mungovan advised Altra Industrial Motion on its $3bn combination with four operating companies from Fortive’s Automation and Specialty platform. Also recommended is Lauren Angelilli, who was made practice co-head in early 2019.
