Corporate governance

Within: Corporate governance

Baker McKenzie 'effectively delivers global insights across industries and various corporate governance themes'. Beatriz Pessôa de Araújo, in particular, is 'an intellectual leader', whose 'analyses are clear and understandable'. The multidisciplinary corporate governance team consists of practitioners from a wide variety of areas, including corporate, compliance, financial services, disputes and employment/employee benefits. Many individuals have previous experience of being seconded to regulators, have advised regulators as part of their practice or have served on industry working party groups. The team particularly stands out for its expertise in assisting international clients with reconciling the UK corporate governance regime with the US regime (or equivalent regimes in other countries). Its work in this space includes (among other matters) cross-border redomestications and advice to boards of emerging market companies seeking a London listing on creating a corporate governance framework. On the regulatory front, members of the team advise clients on compliance (and other issues) related to the Market Abuse Regulation, the Companies Act, the Financial Services and Markets Act and UK Corporate Governance Code, among others. Other pillars of the practice include crisis management, data protection, executive remuneration and tax governance.  Araujo recently provided support to the World Economic Forum on the corporate governance aspects of its Compact for Resposive and Responsible Leadership. Joanna Ludlam co-leads the compliance and investigations team with Sunny Mann. Other key figures include Helen BradleyRobert Adam, Nadia Banno and Jeremy Edwards.

  • The New Turkish Code of Obligations: Important Changes for Leases of Residential & Business Premises

For decades, the primary Turkish laws governing leases of residential and business premises have been the Law on Leasing Real Property dated May 27, 1955 (the “Lease Law”) and the Turkish Code of Obligations No. 818 dated April 22, 1926 (the “Obligations Code”). Both of these laws, however, will be repealed and replaced with the new Turkish Code of Obligations No. 6098 dated January 11, 2011 (the “New Obligations Code”), which will enter into force on July 7, 2012.
