Mr Carretero heads the M&A practice in Baker McKenzie Madrid. He has extensive experience in M&A, Commercial Law and Capital Markets. He focuses mainly in mergers and acquisitions, with a particular focus in public M&A and takeovers, Commercial, Corporate and Capital Markets Law, advises and represents both private and listed companies.


He started his professional career in 1986 as Legal Counsel of BP Nutrition Group in Spain (currently the Nutreco Group). In 1992, he joined the Comisión Nacional del Mercado de Valores – CNMV (Spanish Securities Exchange Commission) as Legal Advisor for the Primary Markets (Public Offers and Listed Companies) and Secondary Markets (Takeover Bids, Stock Exchanges and other regulated markets) Divisions. Since 1995, he has been working as a practicing lawyer in the area of M&A, Commercial Law and Securities. From 2000 to 2002, he was a member of the Consulting Committee of the CNMV, representing listed companies.

Baker McKenzie¬†regularly handles¬†bond issuances in the main and alternative investment markets. For example, it assisted Cajamar with a ‚ā¨750m mortgage-covered bonds issuance and advised¬†Beka Finance, as global coordinator and sole bookrunner, on¬†Solaria Casiopea's¬†‚ā¨9.2m project bond issuance.¬†Enrique Carretero¬†and associate¬†Ignacio Corujo¬†are key practitioners.

The group has niche expertise in¬†the food¬†and film industries, and the¬†hospital and elder care sector. An example of its heathcare work was assisting Vithas with the ‚ā¨300m¬†acquisition of Nisa Hospitals.¬†Enrique Carretero¬†and¬†Jorge Adell¬†co-lead the group, in which¬†Javier Menor¬†and¬†Maite Diez¬†are also recommended.

  • The New Turkish Code of Obligations: Important Changes for Leases of Residential & Business Premises

    For decades, the primary Turkish laws governing leases of residential and business premises have been the Law on Leasing Real Property dated May 27, 1955 (the ‚ÄúLease Law‚ÄĚ) and the Turkish Code of Obligations No. 818 dated April 22, 1926 (the ‚ÄúObligations Code‚ÄĚ). Both of these laws, however, will be repealed and replaced with the new Turkish Code of Obligations No. 6098 dated January 11, 2011 (the ‚ÄúNew Obligations Code‚ÄĚ), which will enter into force on July 7, 2012.
