Equity capital markets – mid-large cap

Within: Equity capital markets – mid-large cap

Baker McKenzie's ECM team is defined in part by its ability to assist the firm's expansive international network, which acts alongside the London office to service clients throughout the EMEA region. Headed by Adam Farlow, the EMEA capital markets group has a particular focus on issuer clients, where it has experience of high-profile equity deals in various emerging markets and fundraisings for biotech companies in the Nordic and Benelux markets. Moreover, the team has shown signs of growth and investment over the past couple of years; it has started acting for more and more underwriter clients, and, in terms of personnel, has brought on multiple new lawyers, including US securities practitioner Megan Schellinger from Linklaters LLP.

Baker McKenzie has an extensive global network and its presence in many of the world's emerging markets draws complex cross-border debt transactions to the practice in London. US securities specialist Adam Farlow leads a practice that not only continues to handle groundbreaking emerging markets deals for issuers, but also acts for a growing roster of underwriters in challenging deals. The firm's deep bench of talent includes Roy Pearce, who represents issuers and investment banks in capital markets transactions, primarily Eurobonds and debt restructurings; corporate trustee expert Simon Porter; New York-qualified partner Megan Schellinger, who advises corporate and investment banking clients on Rule 144A and SEC-registered offerings and private placements of international debt; and Michael Doran, formerly of White & Case LLP, who handles both investment grade deals and more complex, disclosure-heavy emerging markets transactions.

The high yield practice at Baker McKenzie underwent a transformation in 2018 and early 2019, significantly boosting its capability with a number of key hires. Lead partner Adam Farlow now works with partners Rob Mathews and David Becker, who both joined from White & Case LLP along with senior associate Ben Bierwirth, Haden Henderson from Ropes & Gray LLP, and Megan Schellinger from Linklaters LLP. The firm, which climbs the ranking, has integrated US and UK capital markets capability, enabling it to advise on European high yield debt offerings, whether English law Eurobonds or New York law bonds, for underwriters, private equity funds and issuers. Its work encompasses debut issuance, follow-on issuances, taps, on-going covenant compliance, reporting, liability management and restructuring. The firm's vast international network, which includes offices in many emerging markets, is a boon to the practice as private equity sponsors look to expand their coverage into into new and developing jurisdictions.

  • The New Turkish Code of Obligations: Important Changes for Leases of Residential & Business Premises

For decades, the primary Turkish laws governing leases of residential and business premises have been the Law on Leasing Real Property dated May 27, 1955 (the “Lease Law”) and the Turkish Code of Obligations No. 818 dated April 22, 1926 (the “Obligations Code”). Both of these laws, however, will be repealed and replaced with the new Turkish Code of Obligations No. 6098 dated January 11, 2011 (the “New Obligations Code”), which will enter into force on July 7, 2012.
