Position

John Goodgame helps U.S. energy clients in strategic and capital-raising transactions. He advises public and private companies and private equity funds in public and private equity and debt offerings, including initial public equity offerings. Additionally, John counsels public companies, their boards of directors and board committees in strategic matters, including mergers, sales of control and conflict situations, as well as corporate governance and Securities and Exchange Commission compliance.

John has particularly deep experience in the rapidly changing MLP industry, advising on the formation, financing, governance, and restructuring of these entities. He has advised sponsors and board conflicts committees in more than 70 “dropdown” transactions, as well as in highly complicated MLP conflict transactions, including mergers and buy-in transactions, recapitalizations, and Incentive Distribution Rights (IDR) restructurings.

John is co-leader of Akin Gump’s securities practice, as well as a member of the firm’s Management Committee and its Partner Compensation Committee. In 2018, among other high-profile transactions, he advised Stone Energy Corporation and its board of directors in its $1.9 billion merger transaction with Talos Energy and counseled WildHorse Resource Development Corporation’s largest shareholder NGP Energy Capital Management LLC in WildHorse’s $4 billion sale to Chesapeake Energy Corporation.

Among its recent highlights, New York-based Rosa Testani advised Warrior Met Coal on its $350m offering of senior secured notes and its subsequent $125m tack-on offering. In Dallas, Seth Molay assisted Diamondback Energy with three debt transactions, which included a $750m offering of senior notes. The team has also recently undertaken work for CEVA Logistics, Gulfport Energy and Sanchez Energy. The client list includes Alliance Data Systems, AT&T, Diamondback Energy and 7-Eleven. Other clients include EagleClaw Midstream Ventures (a portfolio company of Blackstone Energy Partners), for whom the team advised on its agreement to acquire Caprock Midstream Holdings for $950m. It also acted for the conflicts committee of Valero Energy Partners, a master limited partnership, in its merger with Valero Energy Corporation, a Fortune 50 refinery company; and large deal highlights included advising long-time client Kingston Technology, as a member of the consortium that acquired Toshiba Memory Corporation for approximately $18bn. In New York, Jeffrey Kochian leads the firm’s corporate practice and Kerry Berchem is highly rated for net-operating-loss-driven transactions designed to leverage deferred tax assets.
