Position

Victoria is an Associate and advises health and public authority clients on a mixture of commercial freehold and leasehold property matters, dealing with a number of NHS Trusts and Foundation Trusts, CICs, GPs and private healthcare providers.

She has a number of years’ experience with leases, agreements for lease, licences to assign and underlet, licences to alter, agreements for lease, licences to occupy, tenancies at will and acquisitions and disposals. She also has general commercial experience including dealing with banks, large private companies and insolvency practitioners.

Victoria has recently assisted with a complicated and high value series of ‘land swaps’ involving extensive legal drafting, including transfers, deeds of releases, deeds of grant and development agreements. She has also been involved with the estates rationalisation work for a large NHS Trust, including working on and agreeing several leases and licences to occupy as part of the project. Her recent experience includes advising on:

  • a large scale ‘land swap’ transaction, involving multiple NHS trusts, and dealing with issues such as planning permission, timings of the transfer and occupation arrangements pending completion of construction works, lease-backs, release of existing rights and deeds of easement granting new rights
  • estates rationalisation for a large NHS Trust, including the negotiation and agreement of several leases and licences to occupy, often under strict time frames
  • a number of agreements for lease for NHS Trusts, pending completion of construction and fit out works
  • a complicated lease arrangement with a private healthcare provider where a number of leases were required, and which were interlinked – all with mutual termination provisions
  • the disposal of number of surplus NHS properties at auction, and assisting with disclosures prior to the auction together with completion and post completion requirements
  • dealing with a number of telecommunications leases on NHS sites
  • numerous other health sector leases, including acting for a GP practice on a lease of new practice premises, acting for a CCG and other NHS bodies in granting leases to various providers and acting for various tenants of healthcare leases.
  • an agreement for lease and lease of premises within a community hospital (subject to a PFI) from an NHS body to a pharmacy, with a deferred premium and guarantee documents
  • the surrender of an existing lease, and the grant of a new lease of neighbouring premises for a commercial tenant
  • reversionary leases
  • tenancies at will and early access letters of various properties pending completion of longer term leases or agreements for lease.
  • assisting a charity with their disposals and acquisitions on a very complicated project involving charities, diocesan bodies, parochial church councils and the parish council
  • reviewing and reporting on healthcare titles for lenders
  • assisting a health care company with a share sale including complex amendments to leases and full due diligence.
