Position

Tristan is a Director and joint head of Cains’ top tier Corporate and Commercial team.  He is one of the Isle of Man’s leading corporate lawyers and has over 20 years’ experience of advising on complex corporate, commercial and finance transactions.

In addition to advising on domestic and cross-border corporate finance transactions including initial public offerings, rights issues and public/private bond issues, Tristan has extensive experience advising on local and multi-jurisdictional M&A transactions primarily involving financial services businesses. 

He also regularly advises on corporate restructurings, banking and finance transactions, captive insurance structuring matters and joint venture arrangements.

Together with Lindsey Bermingham, Tristan co-leads our Regulatory team which provides contentious and non-contentious advice on all Isle of Man regulatory matters.

Tristan is ranked as a ‘Leading Individual’ in both the Banking and Finance and Corporate and Commercial categories by The Legal 500. Clients praise Tristan for being a “clever and responsive problem-solver” and “a pleasure to work with”.

Cains advises on some of the biggest deals in the market and is the largest independent firm in the Isle of Man. In a recent deal of note, the team advised the Stars Group on a $12.2bn merger with Flutter Entertainment. Alongside the gambling sector, the team’s workload has also included mandates in the financial services, insurance and telecoms industries. Leading the team is Tristan Head and Scott Leonard -Morgan; both have extensive experience in handling multi-jurisdictional M&A. The team is also supported by Stephanie Chew, who is particularly known for her expertise in property-related corporate transactions. Associate Matthew Wilkinson is a promising name at the junior level. Senior counsels Andrew Baker and Richard Vanderplank retired.

Cains has a six-director team, which enables it to cover a wide range of bank financings and capital markets transactions, as well as restructurings. Tim Shepherd, who leads the practice, is an expert in corporate and property finance. He is also well placed to handle cross-border issues, having previously practised in London and Bermuda. Shipping and aviation finance is another cornerstone of the practice, with clients being able to count on the expertise of Mike Edwards and Steven Quayle. Corporate partners Scott Leonard-Morgan and Tristan Head are both highly skilled in corporate financing. Stephanie Chew, who is an expert in real estate finance, is another key individual. Matthew Quinn joined the Isle of Man Financial Services Authority. Richard Vanderplank and Andrew Baker retired in 2020.

Cains‘ corporate and finance teams have a strong emphasis on the gambling sector, with a client list spanning gaming companies and financial institutions. The team’s recent workload included advising on the landmark $12.2bn merger between The Stars Group and Flutter Entertainment. Alongside M&A work, the group also specialises in reorganisations, loan facilities and regulatory issues. Scott Leonard-Morgan co-chairs the group and is a key name in the market for cross-border transactions and financings. With a leading corporate team, Cains is well versed in advising on transactions and regulatory compliance in the insurance sector, with the additional capabilities of drawing upon its strong bench of litigators. Consultant Jonathan Latham has an impressive background advising on major corporate transactions and reorganisations, and more recently has been advising on insurance issues surrounding the pandemic and its economic consequences. Tristan Head is also a name of note for transactions and regulatory work, but is also a key name for bond issuances and public listings. Lindsey Bermingham leads on the contentious side, and is most notably strong in cases concerning anti-money laundering. Senior associate Matthew Quinn is a promising name at junior level.
