Practice head(s):

Patricia Barclay

It is very useful (and unusual) to be able to access this level of expertise without having to engage a larger London-based firm.

It is Patricia Barclay’s in depth expertise that allows Bonaccord to stand out from the crowd.

Patricia Barclay has a knack for simplifying processes and guiding a client to the best outcome. She is fast and attentive and is experienced on both the buyer and seller-side of major transactions.

Bonaccord is a boutique commercial law firm dedicated to supporting the scientific community and is particularly well-known for R&D collaborations, licensing and investment work. The firm also offers commercial mediation.

The firm: Bonaccord was established in 2007 by Patricia Barclay, after a long and successful in-house career as a low overhead, so less expensive, option for smaller life science businesses to obtain sector specific support. Through its extensive international network the firm’s clients have access not just to sectorial legal expertise but also to other life science consultants from toxicologists to marketing experts. Most of the firm’s team have held senior positions in major international life science companies which ensures a practical, business-oriented approach throughout.

Life science remains the firm’s principal focus but increasingly the firm is attracting other science-based clients primarily in the chemical and engineering sectors and in space and satellite.  The firm also acts for investors in these sectors. The food and drink side of the business is also growing well.   Bonaccord is open to working with other law firms that lack its specific expertise and has a deserved reputation for being a good partner for collaborations, and being pragmatic in mediation.

Types of work undertaken: Legal services offered include: corporate structuring and set up; spin outs and management buy outs, corporate and commercial contracts (eg shareholder, investment, employment, confidentiality agreements, R&D collaborations, clinical trials, consultancies, licensing, manufacturing and international distribution); help finding investors and developing investor presentations; management protocols and procedures; support on deal structuring; intellectual property (IP) strategy and management; assistance in identifying necessary experts and staff; product development; product commercialisation; product licensing; commercial mediation; and various training programmes to either a practical or academic standard.

Support for academic institutions goes beyond specific deals and can include academic course development on topics with a commercial flavor and assistance in developing technology transfer departments and protocols.

Bonaccord provides investor clients with help with due diligence as well as deal structuring and the associated contractual and corporate drafting.

As mediators or advocates in mediation the Bonaccord focus is on seeking practical and lasting solutions. In addition to addressing specific disputes the firm also undertakes the facilitation of difficult conversations and transitions such as shareholder discord or generational change.
