Business acquisitions and disposals

Much of the team’s work is non-contentious, providing general advisory and transactional services to a variety of businesses. For Gannons, share disposals and asset sales are routine. The firm uses its extensive background in transactional tax, share schemes, re-organisations and company structures to provide the most commercially beneficial outcome for the clients. The bulk of the company team’s work involves buying and selling businesses. The team is well practised in managing both smaller and multi-million pound transactions to achieve the clients’ timeline. 

The team’s recent work includes acting for the buyer of a chain of bars, advising the shareholders of a London restaurant chain on the sale of the entire company and representing several companies in restructuring to facilitate a shareholder being bought out of the company (including seeking HMRC clearance).

Fund structures

Another key area of the team’s work is fund structures and investment options. Many of Helen’s clients seek EIS or SEIS investment and the team advises on numerous advance assurances each month. The team are active members of the UK Business Angels Association and they work with both investors and entrepreneurs to draft and review investment documentation for a variety of investment opportunities and industries.

Helen’s team’s recent work includes negotiating with HMRC regarding the refusal to award EIS advance assurance to a company in the retail sector and representing investors in numerous digital media platforms and IT start-up businesses in negotiating investment agreements.

Helen also frequently guest blogs on investor issues on a number of online forums.

Employee share schemes

The team has significant experience in share scheme work. They have practical experience of many years, working with both employers looking to implement equity incentives, e.g. EMI options and CSOP schemes, and employees seeking advice on those schemes.
