Specialises in corporate finance, mergers and acquisitions and London Stock Exchange related work. Nick has advised, either acting for the company concerned or the investment bank/broker involved, on numerous AIM and Main Market IPOs. In addition, Nick has advised on a number of takeovers, both recommended and hostile and has a reputation for advising, both for and against, on high profile shareholder activism issues. Nick is also the head of the investment funds group and his clients include UK and international investment management companies, institutional investors and advisers. He also has considerable experience in providing investment advice on indirect investment into UK, European and global real estate.

Gowling WLG has a stand-out closed-ended listed funds team that advises funds, investment banks and their brokers, throughout fund lifecycles, including IPOs and secondary fundraisings, as well as capital restructurings and reorganisations. The group works closely with the firm’s tax and financial services regulatory lawyers, giving it the ability to provide a rounded service. Nick Heather , who stepped down from the partnership and became of counsel in 2022, continues to lead the practice group, drawing on a strong track-record in domestic and overseas fund listings on the London markets. John Reed is an expert in fund structurings for on- and offshore fund managers, as well as public M&A transactions involving investment funds; while Oliver Riley and Kristian Rogers  are also practitioners of note. Principal associate Kate Seabourne  has a growing investment fund IPO and secondary fundraising practice.

Nick Heather leads Gowling WLG‘s corporate and investment funds team, described as providing ‘top-notch support’ to its clients. The real estate funds offering advises large institutional investors and GPs on complex transactions and has a particular presence in the social housing, specialist supported housing, senior living and retirement housing markets. It deals with private closed-ended, platforms, club deals, joint ventures and deal-by-deal investment structures. The team is recognised for its expertise in investment funds, more specifically in relation to closed-ended, listed funds and REITs; Oliver Riley has established himself as a leading adviser on real estate fund transactions with focus on the launch, structuring and reconstruction of onshore and offshore closed-ended funds and REITs, having advised on the UK residential REIT GCP Student Living.
