Emily Troubridge helps clients meet their needs and develop their businesses through providing informed, focused and timely advice that supports them in achieving their strategic goals.

Emily is an associate in the corporate group and a member of the investment funds team with experience in a wide range of corporate transactions including IPOs, secondary fundraisings, domestic and international M&A, joint ventures and company restructurings.

Emily’s client portfolio is equally diverse: from start-ups to large and sophisticated investment management houses, as well as the investment banks and brokers that advise them. Emily works hard to ensure that transactions are delivered to a high standard within the timeframes required. She always places the client’s interests at the heart of what she does and goes above and beyond to ensure that the client is satisfied with the outcome.

Being part of the corporate team working for a range of clients in a variety of sectors from start-ups to large and sophisticated investment management houses has given me a real breadth of experience as each transaction means getting to understand a client’s business and helping them to achieve their individual goals. She particularly enjoys working cross-sector with our large real estate practice along with our finance, regulatory and tax teams in order to provide a full service experience to the client.

Highlights

Emily was the only junior associate involved in a complex takeover undertaken by way of a scheme of arrangement which involved a competitive bid process before the directors made their final recommended offer. The work involved advising the client on the structure of the transaction and drafting and advising on both the corporate offer documents and the accompanying court documents. As transactions of this nature are relatively rare, particularly now that reduction schemes to effect takeovers are prohibited under the Companies Act 2006, throughout the transaction we built on the strong relationship with the client that the firm has had for some time.

Emily was heavily involved with formally creating a joint venture relationship between a property company and a well-known property developer, taking the lead in drafting the share purchase agreement for the purchase of the JV’s first asset. The work was challenging but rewarding (particularly when we finally completed on Christmas Eve!) and Emily was entrusted by both the client and the partner involved to assist with getting the transaction over the line which meant a lot of responsibility both in the quality of the work and her project management skills.

A particularly rewarding client to work for is one of our REIT clients who specialises in the acquisition, development and management of student accommodation assets in the UK. Following their IPO last year Emily have been very involved with numerous secondary fundraisings for them and as a result of this, their dedication to their business and the resulting confidence of their investors, their business has rapidly expanded meaning more work coming in for us and an ever-strengthening client relationship.

Experience

Investment funds

Advised on a series of public fundraisings and private M&A transactions for REIT client Empiric Student Property plc including putting in place a year-long £300million share issuance programme. This gave them the ability and flexibility to undertake separate tranches of equity fundraising by way of placings, offer for subscriptions or open offers. Also guided the client through the private acquisition of two corporate vehicles holding seven properties between them for a value of £41.6million.
