Career

Philippe Rousseau’s team is experienced in all aspects of commercial litigation, from contract negotiation to terminating established commercial relations. They provide full-service dispute resolution advice and solutions, assisting companies in all matters including handling liability guarantees, shareholder disputes and pricing disputes. The team also acts for clients in matters concerning the stock market, such as short sales and insider trading, and handles many cases involving directors’ and officers’ liability. They advise clients on international litigation and dispute resolution, in both local courts and via international arbitration procedures.

Highlights

Philippe is particularly proud of the team’ success in a case that the client had initially been discouraged from initiating due to its complexity. It resulted in the signing of a transaction protocol following the start of ICC arbitration procedures, with one of the world’s distribution giants agreeing to buy back a shopping centre from our client for a price higher than its market value, ensuring a comfortable profit for the client.

Experience

Representing the majority shareholder of a French subsidiary of a British group, the European leader on the prepaid fuel card market, in proceedings for misuse of corporate assets and mandates. The proceedings were brought by the minority shareholders, who own 49% of the shares. The action was part of four litigations regarding, among other things, an attempt to designate a temporary administrator and contention of the recall of the company’s general directors by our client.

Representing the number one producer of non-nuclear electricity in the world, and some of its subsidiaries, in several disputes, including a dispute over the sale of land.

Representing a mobile phone manufacturer in proceedings initiated by one of its wholesale dealers.

Representing Europe’s leading branded frozen food business in a dispute with the French “Direction Départementale de la Protection des Populations” (Departmental Direction for the Protection of People) for the misleading labelling of poultry products. We managed to negotiate an out-of-court settlement for €15,000 – much preferable to the potential alternative of a fine of up to €187,500 and up to two years in prison.
