How Can Ed Help You?

Ed specialises in commercial contracts and projects, from long term supply and services contracts, to contractual joint ventures, partnering agreements, framework agreements and terms and conditions. As a member of our Brexit Planning team, Ed can provide you with commercial advice relating to the UK's decision to leave the European Union.

He has worked across a number of sectors, but has a particular specialism in the renewable energy market where he has advised in connection with the development of renewable energy projects from offshore wind to solar, and from district heating to energy from waste, both in the UK and overseas.

Ed has advised a broad range of clients, from start up companies to large multi nationals, suppliers and customers, and in the energy market from project developers to project sponsors, regulators, acquirers and sub-contractors. This range of experience means that he is able to quickly identify the likely commercial and legal concerns of all parties to a transaction, facilitating a speedy agreement whilst ensuring that he focuses on what really matters to our client.

International Expertise

Ed's international experience includes advising overseas investors in the UK, and advising UK and overseas businesses on arrangements for the import and export of goods and services to and from the UK. Ed's expertise includes international distribution and agency arrangements, agreements for the supply of goods and services, and arrangements for establishing a business in the UK. Ed has also advised in relation to a number of overseas energy projects.

Countries where Ed has experience include France, Germany, Ghana, Ireland, Norway, Oman, Peru, Spain and the USA.

Meeting Your Needs

Commercial contracts set out the basis on which your business should have a long and beneficial relationship with an important third party - whether a customer, partner or supplier. This is only achieved where both parties understand and agree to the core commercial terms and the allocation of commercial and legal risk between them

Ed will ensure that your commercial contracts represent a position which you understand and are comfortable with, and which minimise the scope for future dispute. Ensuring that agreement on the commercial and practical issues is clearly and concisely documented is just as important as covering the purely legal aspects - Ed's approach reflects this.

What Others Say

Clients are impressed by Ed's ability to cut through the noise of any negotiation to identify what really matters to the parties to an agreement, and to focus minds on those issues.

Ed is a member of the firm's Energy Law and Aerospace and Defence teams.

VWV’s clients praise the corporate and commercial group’s ‘straightforward pricing’ and ‘sound industry knowledge’, but note in particular the ‘feeling of comfort and trust in the firm’s advice’. Fielding dedicated corporate and commercial teams headed by Robert Collier and Doug Locke, respectively, the group has been increasingly active for start-up and tech businesses and has been involved in a number of transactions with inbound foreign investors. In one of the group’s highlight transactions, Nathan Guest advised the shareholders of an internationally active technology company on the £55m sale of their shareholding. Solicitor Katie Hanson acted for Bath-based e-commerce company Prezola in relation to a £3m investment by the Business Growth Fund. The team remains active in the education and healthcare sectors and Edward Rimmell assists North Somerset Council with its outsourcing of statutory and non-statutory education services. Oliver Pool and Andrew Gallie were made partners in the commercial team, and Jos Moule is a recommended corporate partner.

VWV handles contentious and non-contentious instructions involving a range of renewable technologies, but is best known for its ‘invaluable knowledge of land ownership issues involving cross-country pipelines’. David Bird was instructed by Seabank Power to negotiate crossing agreements with Wessex Water and Ecotricity. Mainline Pipelines and CLH Pipeline System are among the team’s major pipeline clients. Edward Rimmell advised Hills Waste Solutions on the commercial and project agreements for its mechanical and biological treatment plant in Wiltshire. Ed Husband is a key contact in the disputes team, which has also been involved in various contentious matters for energy companies and energy purchasers. Jason Prosser heads the department.
