Leveraging an extensive presence across the ASEAN region, DFDL Legal & Tax has a strong focus on regional energy, infrastructure and real estate projects. Much of its banking and finance work occurs in the context of project and real estate finance, which continue to be active areas. In one example of its strength in cross-border project financing and development, a team led by Walter Heiser advised a sponsor on the financing aspects of what will be the largest multiple dam cascade hydropower project in Laos; that team also included China-desk head Ivy Liu and regional legal advisors Briana Olson and Kunal Sachdev. Other clients in the development finance space include local and international financial institutions, foreign law firms and a variety of corporate borrowers. Fintech, e-commerce and cryptocurrencies are additional areas of expertise, and are also areas in which practice head Vinay Ahuja has developed a particular niche. The department also draws on the expertise of Nipaporn Supha-Utchaichan and Rashane Leerabandhu, both of whom have broad experience in finance, projects and M&A.

The regional M&A team at DFDL Legal & Tax includes Thailand-based lawyers with local and international experience, who benefit from the support of colleagues based in other ASEAN countries. The firm's China and India desks, both of which are led by Bangkok-based partners, are additional draws for Chinese and Indian investors. The China desk in particular was strengthened by the hire of Oliver James Ting in March 2018, who re-joined the firm from an in-house position in Beijing. Energy, mining and infrastructure-related M&A is a mainstay, with recent highlights including the firm advising Royal Dutch Shell on the sale of its stake in the Bongkot natural gas field to PTTEP; this matter was handled by a cross-office team including Thailand managing director Audray Souche, Kraisorn Rueangkul and legal adviser Prateep Lumrungruang. Other names to note include Rashane Leerabandhu, who has over 30 years of legal experience, and Nipaporn Supha-Utchaichan, who is noted for her 'crystal clear, objective and practical advice’.

Energy, mining and infrastructure has been a sweet spot for DFDL Legal & Tax since the opening of its first offices in the 1990s. Though it has expanded its services in the intervening years, the firm maintains a strong reputation in the energy space. From its Bangkok office, which was established in 2005, the team continues to handle a steady flow of instructions in Thai and regional energy projects. In particular, it has recently advised on a number of hydro-power projects in the region. One example is the firm's work, via an ethical wall structure, for both the sponsors and lenders in a 670MW hydro-power project in Laos; the intensive project saw involvement from key partners Audray Souche (who 'gives sound legal advice'), David Doran, Walter Heiser and Vinay Ahuja. The department's client base is kept purposefully broad, with instructions coming from local and international sponsors, developers, lenders and investors, giving the team a deep and comprehensive insight into the requirements of all relevant parties to a project. Energy-related M&A also features among the department's workload. English and Mandarin speaker Ivy Liu acts for Chinese clients in cross-border projects, with a specialism in hydro-power. Corporate lawyer Angus Mitchell has notable experience across the ASEAN region, primarily focusing on oil and gas and power projects.

Real estate and construction
Real estate and construction - ranked: tier 3

DFDL Legal & Tax

DFDL Legal & Tax's real estate team excels in hotels and hospitality projects and M&A. In addition to Bangkok, the firm has offices in Phuket and Ko Samui, which give it proximity to resort and hospitality-related projects on these islands. Paul Volodarsky, who is the managing director of the latter two offices, acts for buyers, developers and investors, and also counts leading hotel chains among his clients. Among a busy workload is his representation of the developer in a project that, once completed, will be one of the largest luxury villa developments in Ko Samui. The team also stands out for its track record in agricultural projects, both in the cultivation and processing stages. The team also assists clients on market entry into Thailand, including the tax and real estate aspects; in recent work, tax director Jonathan Blaine assisted a Canadian corporation on establishing a base in Thailand.

The fintech team at DFDL Legal & Tax sits within the broader banking and finance department. It provides an extensive range of services to internet, technology and financial services companies, from licensing and IP to data privacy and employee agreements. The group has also seen an uptick in work from e-commerce companies. Much of its work is cross-border and multi-disciplinary in nature, requiring close cooperation between the firm's offices. In a recent example, Vinay Ahuja and Kraisorn Rueangkul worked alongside colleagues in Singapore, Indonesia and the Philippines to advise Gobi Partners on the Series A funding round of logistics platform start-up Deliveree. Ivy Liu is another name to note; she regularly advises China-based technology companies with operations in Thailand. In recent work, she advised a Chinese cloud computing and network security solutions company on legal and compliance issues relevant to its Thai subsidiaries.

DFDL Legal & Tax covers the gamut of domestic and cross-border taxation, and has complementary expertise in wealth management. Further, the group was strengthened in April 2018 by the arrival of Patipan Kongviriyagit from professional services firm PKF Thailand. Much of the department's work is in the context of larger corporate or infrastructure transactions, where recent highlights included advising Royal Dutch Shell on the tax aspects of its sale of a 22.2% stake in the Bongkot gas field to PTTEP. Elsewhere, it advised a Canadian client entering Thailand on Thai company structuring, Board of Investment (BOI) incentive applications and other taxation issues; Jonathan Blaine took a key role on the abovementioned transactions. Also recommended is regional tax practice head Jack Sheehan, who advises on international taxation, tax disputes and inbound and outbound investments from his base in Laos.
