Work Highlights 

  • Tokyo-listed Kyowa Exeo Corporation in the voluntary conditional cash offer for all the issued and paid-up ordinary shares (excluding treasury shares) in the capital of DeClout Limited.
  • DBS Bank Ltd., the financial adviser to Wheelock and Company in the voluntary unconditional general offer for all the issued and paid-up ordinary shares of Wheelock Properties (Singapore) Limited which was valued at over S$2.5 billion.
  • RHB Securities Singapore Pte. Ltd. and United Overseas Bank Limited, two of the financial advisers to ESR Funds Management (S) Limited in the merger with Viva Industrial Trust by way of a trust scheme of arrangement. The merger values Viva Industrial Trust at S$936.7 million and creates Singapore’s fourth largest industrial REIT with approximately S$3 billion in property assets. This deal won Best Singapore Deal at the FinanceAsia Awards 2018 and M&A Deal of the Year (Midsize) at the ALB SE Asia Law Awards, 2019.
  • Big Bus Tours Limited in the acquisition of Singapore Ducktours Private Limited, Big Bus Singapore City Sightseeing Pte. Ltd. and Tourist Information & Services (S) Private Limited, through its wholly-owned subsidiary Big Bus Tours SG Pte. Ltd.
  • SATS Ltd. (“SATS”) as Singapore counsel in its joint ventures with AirAsia Berhad (“AirAsia”). Under the terms of the partnership, SATS and AirAsia will hold 50:50 stakes in a joint investment vehicle, Ground Team Red Holdings Sdn Bhd, which will in turn hold stakes in both Malaysia and Singapore subsidiaries responsible for growing the ground handling business in their respective jurisdictions, eventually exploring expansion options into Indonesia, the Philippines and Thailand in the near future. The joint ventures were effected mainly by way of a share swap agreement and a share sale agreement.
  • Advanced Semiconductor Engineering Inc. in its privatisation of ASE Test Limited for US$784 million (approximately S$1.2 billion), which was the first scheme of arrangement in Singapore involving a company with listings in NASDAQ and TSE.
