Position

Andrew specialises in corporate advice and transactional work for a wide variety of public and private companies. His experience includes corporate and corporate finance law, specialising in mergers and acquisitions (including public takeovers), share offerings, company reorganisations, financings, private equity and joint ventures. Many of his clients are in the financial services (including investment trusts) and property sectors. He is also particularly interested in family and owner-managed businesses, and is head of the firm’s business owners group under private wealth. Andrew is also joint head of the corporate governance team.

Charles Russell Speechlys LLP's team is increasingly active in providing advice to family businesses, entrepreneurs and business owners on the use of AIM fundraising transactions as a means to finance their growth plans. On the regulatory front, it has also been assisting brokers and AIM-listed companies with managing the impact of European regulations, such as the Market Abuse Regulation and MiFID II. The firm generates work from clients across a number of industries, particularly technology, investment trusts, financial services and natural resources. In the healthcare sector, in 2017, Michael Lingens acted for Minster Care Group in the £160m IPO of Impact Healthcare REIT Plc and its admission to trading on the Specialist Fund Segment of the Main Market. Paul Arathoon and Andrew Clarke advised Alpha FX Group Plc on its £30m AIM IPO. Other clients include fastjet Plc, Taptica International, Liberum Capital and WH Ireland. Andrew Collins leads the team, which also includes Victoria Younghusband, Chris Putt, Mark Howard and senior associate Tom Smitham. Clive Hopewell and Adam Carling joined Bird & Bird LLP.

The practice at Charles Russell Speechlys LLP is focused particularly on the TMT, healthcare, real estate, financial services, retail and leisure sectors. Highlights included Mark Howard advising IFS AB on the purchase of mpl systems; Andrew Collins acting for Coex Partners on the sale of the company to TP ICAP; and Michael Lingens advising CareTech on its £17m acquisition of Selborne Care. The team also specialises in the private wealth sphere, acting for a number of entrepreneurs and family-owned businesses; Keir Gordon recently advised the co-founders of Triple Red, a supplier of water purification systems, among other items, on the £17m sale of the company to Edstrom UK Holdings, and David Coates assisted privately owned chemicals company Ineos Holdings on its acquisition of Belstaff. Chris Putt leads the team, which also includes Martin Wright, Andrew Clarke, David Hicks and Hamish Perry. Crest Nicholson, Bellway Homes and Zenium Technology Partners are also key clients.

Charles Russell Speechlys LLP handles various advice for brokers and funds, including ones listed on AIM as opposed to the specialist funds segment. Victoria Younghusband advised India Capital Growth Fund on its upgrade from AIM to the main market, without additional fundraising. Andrew Collins advised Chelverton Small Companies Dividend Trust on an issuance of zero-dividend preference shares. As far as advising service providers is concerned, Younghusband advised Grant Thornton as NOMAD and Cantor Fitzgerald and Mirabaud Securities as joint bookrunners and brokers of a placing of shares by Duke Royalty simultaneous to its return to AIM following the suspension of its shares. Other clients include The People's Investment Trust, which the firm advised on its proposed IPO.
