Position

David advises both institutional and independent clients on constitutional and governance arrangements, restructuring, mergers and acquisitions and raising funds. He specialises in corporate advisory, corporate finance and transactional work, particularly within the financial services and wealth management sectors, and for investment trusts. His work for quoted companies includes leading the firm’s corporate compliance, annual reporting and general meeting work for listed clients. David advises listed, AIM-traded and other public and private companies on various company law and compliance matters, including in relation to the Companies Act 2006, listing rules, disclosure and transparency rules, UK corporate governance code and AIM rules. He advises investment trusts on fundraising and other matters, including a bonus issue of subscription shares for Fidelity Japanese Values plc which closed in summer 2014. David acts for a number of limited liability partnerships on structuring, constitutional and governance arrangements, particularly within the wealth management sector. He has advised on strategic and complex restructuring and transactional matters for wealth managers, insurers, insurance brokers and other authorised firms and individuals, both within the UK and internationally.

The practice at Charles Russell Speechlys LLP is focused particularly on the TMT, healthcare, real estate, financial services, retail and leisure sectors. Highlights included Mark Howard advising IFS AB on the purchase of mpl systems; Andrew Collins acting for Coex Partners on the sale of the company to TP ICAP; and Michael Lingens advising CareTech on its £17m acquisition of Selborne Care. The team also specialises in the private wealth sphere, acting for a number of entrepreneurs and family-owned businesses; Keir Gordon recently advised the co-founders of Triple Red, a supplier of water purification systems, among other items, on the £17m sale of the company to Edstrom UK Holdings, and David Coates assisted privately owned chemicals company Ineos Holdings on its acquisition of Belstaff. Chris Putt leads the team, which also includes Martin Wright, Andrew Clarke, David Hicks and Hamish Perry. Crest Nicholson, Bellway Homes and Zenium Technology Partners are also key clients.

The group is often call upon to advise financial services LLPs on governance and transactional matters as well as structuring. On the contentious side, it is instructed on partner expulsions, retirements, exclusions and dismissals. The team is led by William Granger¬†who is ‚Äėexcellent with clients‚Äô and has ‚Äėstrengthened his partnership and LLP expertise‚Äô in recent years. Highlights for the group included advising Crest Nicholson Operation on the establishment of a joint venture, structured as a partnership with A2 Dominion Developments in order to promote the development of the North West Bicester Eco-Town. Also recommended are David Hicks, for his expertise in partnership advisory work in the financial services sector, and James Carter, who has significant knowledge in partnership taxation.
