Partner with general commercial, corporate finance and financing practice with particular experience in flotations, public takeovers, private acquisitions and disposals, demergers and joint ventures and capital market transactions; experience in a range of insurance work for mutual and proprietary companies and has advised on large-scale demutualisations. In addition, he has worked extensively on outsourcing and other commercial contracts.

Spanning multiple practice areas, Slaughter and May‘s Brexit taskforce draws heavily from the firm’s financial services practice and also benefits from strong corporate and dispute resolution teams, as well as experience acting for government clients and public sector bodies. On the financial services side, the group counts UK and EU-headquartered banks and insurers, asset managers and private equity firms as clients, which it advises on corporate restructurings and business transfers. It recently advised Standard Life Assurance and Prudential Assurance Company on their separate corporate restructurings including establishing EU entities and branches and transferring the EU business from the UK to the new EU bases. Jeff Twentyman and Jan Putnis jointly lead the team; Twentyman also leads the firm’s private equity group and Putnis heads up the financial regulation practice. Other noteworthy practitioners include corporate partner Richard De Carle, insurance specialist Craig Cleaver, data protection expert Rebecca Cousin, Ian Johnson, who heads up the restructuring and insurance practice, and Sara Luder, who leads the tax group.

Slaughter and May is regularly involved in the biggest insurance M&A transactions in the UK market, and in 2018 led for Standard Life Aberdeen on the £3.2bn sale of its UK and European insurance business to Phoenix and Marsh on its £4.3bn acquisition of JLT.
