Position

Daniel is a partner in the firm's tax department and heads up the firm's real estate tax practice.

Daniel has acted for a broad range of real estate clients, including institutional investors, private equity funds, sovereign wealth funds, REITs, developers, occupiers, high net worth individuals, sharia compliant investors, charities and housing associations.  He has therefore received exposure to all areas of the UK commercial and residential real estate markets. He has particular expertise in advising on the acquisition and development of student accommodation and care homes, having acted on some of the largest transactions in these sectors in the last few years.  

Daniel also has considerable experience in providing transactional corporate tax advice, including in relation to M&A, reorganisations, demergers, MBOs and other corporate transactions. In addition, Daniel has regularly advised on personal and employment tax matters (e.g. management taxation, termination payments) and charity tax issues (e.g. VAT recovery and application of tax reliefs).

Career

Daniel trained at Nabarro and progressed to the role of Senior Associate. He subsequently moved to Trowers & Hamlins as a Senior Associate before joining the Real Estate Deals team at PwC LLP as a Senior Manager. He joined Shoosmiths LLP in 2016.

Shoosmiths LLP fields a tax team from its Reading office that is praised for its 'excellent response times and commercial knowledge', with practice head Tom Wilde singled out for his 'pragmatic and commercial approach, without compromising on the legals and technicalities'. The team advises investors and investee companies on enterprise investment schemes and venture capital trust (VCT) compliant investments.  On the transactional front, Wilde advised Octopus Investments on its venture capital investment into US cybersecurity firm, Digital Shadows, which involved structuring the investment to ensure it was VCT compliant, as well as obtaining advance assurance from HMRC. The firm also has a dedicated real estate tax practice headed by Daniel Kennedy (who 'delivers complex advice in a pragmatic and understandable way' and whose 'knowledge of the commercial angles enables him to tailor advice accordingly'). Kennedy acted alongside associate Sara Mardell for Allied London on its sale to Schroders of units in the vehicle which owns the No.1  Spinningfields development in Manchester; this involved advising on the tax implication of the pre-transaction reorganisation to enable the property to be sold out of the wider development, and the subsequent tax aspects of the unit sale transaction.

Shoosmiths LLP specialises in handling high-value, complex real estate transactions, with a focus in recent times on telecoms, development and corporate occupancy instructions. Clients of note include McKay Securities, Calor Gas and Allegro MicroSystems. Alan Corcoran, the head of the firm’s southern real estate offering, led a team advising Mattel group companies as tenant and guarantor in respect of the relocation of its main UK distribution hub to a new facility in Leicester. Head of the Reading real estate team Nathan Rees acts for major property investors on large-scale acquisitions and disposals, as well as asset management for property owners and occupiers. Rees recently advised Mabey Hire on the relocation of one of its key southern distribution depots to a larger site, with support from associate Nick Dalgleish and tax partner Daniel Kennedy. Senior associate Marcus Devanny has extensive experience of acting for institutional investors, property funds and corporate entities in the acquisition and disposal of freehold and leasehold properties and large portfolios.

  • THE VAT E-COMMERCE PACKAGE

    A. INTRODUCTION   The VAT E-commerce Package adopted by the Council on the 5th of December 2017 includes several changes that will be gradually implemented, some changes will be effective as from the 1st of January 2019 and the rest as from the 1st of January 2021.
  • Doing business in Ukraine: turning point for the currency control in Ukraine

    One of the most hotly discussed topics in 2019 is currency control liberalization in Ukraine.The currency control liberalization was one of Ukraine‚Äôs priorities under the EU-Ukraine Association Agreement. At the beginning of 2019 the National Bank of Ukraine (hereinafter the ‚ÄúNBU‚ÄĚ) approved and promulgated all long-awaited regulations, serving as the basis for a new liberal¬†system of foreign currency control. The new¬†currency control¬†system will be launched on 7 February 2019, the same day as the Law of Ukraine¬† On Currency and Exchange Transactions¬† becomes applicable. The changes are aimed at deregulation, facilitating cross-border transactions with foreign currency and expanding the list of available foreign currency transactions.
  • New Long Term Residency Visas

    After much media coverage, Cabinet Decision 56 of 2018 (the Decision ) has been gazetted which introduces new long term residency visas to, amongst others, four categories of persons in the UAE. 
  • Significant Changes to Civil Procedure Code

    Significant changes to Federal Law No 11 of 1992 (the Civil Procedure Code ) will soon be coming into effect. These changes are introduced through regulations (the Regulations ) issued under the Civil Procedure Code and will come into effect on 16 February 2019.
  • Merger Clearance Matters

    The United Arab Emirates (the UAE ) promulgated legislation to specifically address the regulation of competition (being Federal Law 4 of 2012, or the Competition Law ) several years ago but until recently, it has been the case that the requisite implementing regulations and processes were not in place. This is no longer the case. Not only have the much anticipated implementing regulations been issued, the UAE Ministry of Economy (the Ministry ) (being the regulator in charge of administering the UAE competition regime) has now formed the required committee and issued the anticipated guidance and forms to allow concerned parties to make merger clearance submissions to the Ministry where required to do so pursuant to the Competition Law.
