Position

Elia has over 25 years’ experience of corporate law and is regarded as one of the pre-eminent corporate lawyers. She acts both for listed and private corporates, advises on M&A, reorganisations, restructuring of international groups, company law matters, flotations and corporate venture arrangements.
Elia manages international and cross border corporate law matters and global client relationships. Elia has been included as one of the Top 50 most powerful Businesswomen, Northern PowerWomen 2018.
Elia has been described as a very pragmatic and client-orientated lawyer, who listens to her clients and their needs. She is a recommended leading lawyer in Legal 500 and is described as ‘brilliant’, an ‘exceptional deal counsel’ and ‘has a strong sense of how to effectively manage, and advise, private-owner clients’.
Elia’s experience includes advising:
  • on an acquisition by global UK corporate of global robotics business based in numerous jurisdictions;
  • the French private equity arm of leading cosmetics and skincare brand on an investment and acquisition into a UK based online and retail skincare business;
  • on investments by Grosvenor private equity into global sustainability food technology manufacturer;
  • on the acquisition of a UK-based online cosmetics retailer by a Swedish-based subsidiary of Axel Johnson AB;
  • on the global reorganisation of the Tensar Group across a number of jurisdictions including UK, Belgium and US;
  • Co-operative Bank plc on the corporate aspects of the sale and outsource of its GBP23bn mortgage book to Capita;
  • Concateno plc, a laboratory diagnostic global business, in the public to private and sale in over 10 jurisdictions to a publicly listed US corporate;
  • on the sale of TRM Packaging Limited to D S Smith plc;
  • the African Coast to Europe cable consortium of around 19 West African telecom operators together with Orange France on the corporate aspects of an unprecedented, ground-breaking project for international telecoms capacity;
  • £220m disposal of a pharmaceutical company to a German multinational;
  • online business, RetailMeNot Inc, on its acquisitions in UK and Europe;
  • sale of Fullwood Packo Group, an international farm manufacturing business, to Verder Group NV;
  • £1 billion buy-back of shares in an internal group reorganisation;
  • reorganisation of a global business in multiple jurisdictions with merger, sale and liquidation transactions in over 16 jurisdictions in Europe.
