Position

Keir is a partner in our Aberdeen office and works as part of the Corporate Finance team in Aberdeen. He specialises in all aspects of corporate law and has considerable experience in management buy-outs/ buy-ins; company acquisitions and disposals; business transfers; advising on shareholder agreements, articles of association and joint venture agreements. He also advises clients on company formations and provides advice and guidance on a range of general commercial contracts such as franchise agreements, distributor agreements, supply agreements and general terms of business.  Some of Keir’s most recent deals in 2017 have included:

Project Clyde
Assisting a financial planning client based in Aberdeen acquire the entire issued share capital of a Glasgow based financial planning company – deal size was approx.

Project Granite
Assisting a financial planning client based in Aberdeen acquire the entire issued share capital of another financial planning company locally based in Aberdeen

TDC (Aberdeen) Limited
Acting for TDC (Aberdeen) Limited in connection with the expansion of its trading group by the acquisition of (a) a local Aberdeen based electronics company and (b) a local Aberdeen based electrical engineering business with premises located in a prime area of Aberdeen providing good access to the harbour and South of Aberdeen

Searchwise Limited
Acted for Searchwise Limited in connection with the disposal of its refurbishment business to Irish Sea Contractors Limited

In addition, Danny Lee and John Morrison ‘understand points easily and their drafting is high quality‘ and senior associate Tom Swan is lauded for his ‘attention to detail‘. Stephen Trombala leads the group, which is adept in transactions spanning a wide range of industries, including food and drink, renewable energy, corporate real estate, oil and gas (upstream and services sectors), technology and life sciences. It consistently excels in headline deals; in 2017, highlights included Frier and others acting as the lead legal adviser to Chivas Brothers (part of the Pernot Ricard Group) in the sale to the Glenallachie consortium of its Glenallachie distillery, and certain whisky stock and whisky brands. Frier also led a team in the advice to Collagen Solutions on its £8m placing and open offer, and also on a £4m bond issue. Morrison assisted TVSquared (one of Scotland’s most successful recent start-up companies) with its $6.5m series A equity financing.
