Career

Philip Wong provides legal services in relation to banking and finance, corporate and M&A, trust and other cross-border transactions to a large number of corporations and financial institutions.  He is the annual legal advisor of various banks, trust companies and securities companies in Hong Kong, Macau and the PRC.

 

Banking

Philip regularly advises on secured and unsecured lending in Hong Kong and cross-border loans including project financing, real estate financing, syndicated loans and trade finance. He advises banks and lenders from Hong Kong, the PRC, Macau and other countries in relation to Hong Kong and cross-border legal and quasi-legal regulations on lending, security, compliance, registration, enforceability, insolvency and connected transaction issues.

 

Commercial

Philip regularly advises on a wide range of commercial matters, such as corporate re-structuring and re-organization. In addition to preparing and advising on corporate and commercial documents (including shareholders and joint venture agreements), he also advises startup incubation joint ventures, shareholding structures, call and put options, and investment arrangements involving listed companies and private equities.

 

Commercial Trust

Philip advises on share award scheme, share match scheme and other employee incentive scheme for listed companies and private companies (including foreign exchange and tax compliance advisory matters involving PRC domestic employees and PRC domestic companies). He also advises on pre-IPO trust and structuring alternative incentive schemes.

 

Regulatory

Philip regularly provides legal services to licensed corporations in Hong Kong regulated by the Hong Kong Securities and Futures Commission (“SFC”), mostly holding Type 1, 4 and 9 licenses. He advises on a wide variety of regulatory and compliance matters such as the Securities and Futures Ordinance and the relevant subsidiary legislation codes, rules and guidance notes issued by SFC, anti-money laundering, data protection, IPO and margin financing and market misconduct.
