Su Cheen focuses her practice on assisting clients on the structuring, establishment and distribution of all types of investment funds, in both the retail funds and private funds space.

Su Cheen has represented numerous international and local fund houses in getting their funds authorised by the SFC. She has advised on a broad range of listed and unlisted funds ranging from plain vanilla equity and bond funds, UCITS to ETFs. She is also experienced in the MPF sphere, advising on establishment and authorisation of MPF schemes and approved pooled investment funds (APIFs), including assisting with post-authorisation and regulatory issues.

Her private funds experience includes advising on the structuring and establishment of offshore and onshore hedge funds, private equity funds and other alternatives, as well as on the legal issues concerning side letters, ISDA and prime brokerage agreements.

Su Cheen also handles a wide range of securities regulation and compliance matters. She regularly works with players across the fintech sector on the legal and regulatory issues of their products and offerings.

  • Assisted a key Chinese asset manager to debut one of the first two ETFs listed on the Hong Kong Stock Exchange under the new Hong Kong-Mainland cross-listing scheme
  • Assisted a pension fund client in launching an innovative MPF investment solution, focused on dividend payments to provide members with a regular income stream upon retirement
  • Assisted a prominent global asset manager in transiting two of their existing SFC-authorised funds into SFC-approved ESG funds

  • Assisted multiple clients (approximately half of the MPF providers in the industry) in setting up core funds and obtaining regulatory approval in regard to the implementation of Default Investment Strategy required by the MPFA
  • Advising and assisting a Hong Kong-based fund manager with the setting-up of a Cayman Islands technology fund
  • Advising and assisting a Hong Kong-based fund manager with the setting-up of a Cayman Islands segregated portfolio company with an initial segregated portfolio investing in Asian and US equities
  • Advising and assisting a Hong Kong-based fund manager with the setting-up of a Cayman Islands fund investing in Greater China region equities
