In VILAF's Hanoi office, Nguyen Quang Hung advised Standard Chartered on Mobile World's VND1.1tn bond issuance guaranteed by the Credit Guarantee and Investment Facility, and also assisted Techcombank Securities with numerous corporate bond offering arranger roles. Dang Duong Anh advised Simpson Thacher & Bartlett LLP in Hong Kong on the impact of Foxconn Interconnect Technology's Hong Kong IPO on its Vietnamese subsidiaries. Tran Tuan Phong assisted Vingroup with the sale of $198m of shares via the Ho Chi Minh City Stock Exchange, which were offered to qualified institutional US buyers via Rule 144A. In Ho Chi Minh City, Vo Ha Duyen advised Credit Suisse on Novaland's plan to list $160m of convertible bonds on the Singapore Stock Exchange. Shinhan Securities is another client.

VILAF¬†has a particular specialism handling the Vietnamese legal elements of heavyweight deals, frequently acting as co-counsel alongside major global firms.¬†Dang Duong Anh and counsel Vu Le Trung advised Shinsei Bank on its 49% purchase of MCredit, turning it into a joint venture with former sole owner Military Bank.¬†Tran Tuan Phong¬† and counsel Nguyen Vu Quynh Lam handled Siam City Cement's purchase of LafargeHolcim's 65% stake in Holcim Vietnam for ‚ā¨460m. Bui Ngoc Anh advised an international oil company on the sales of its Vietnamese LPG distribution and processing business and Thang Long LPG. Nguyen Quang Hung assisted Sumitomo Mitsui Trust Bank with purchasing 49% of BIDV Finance Company. Vo Ha Duyen¬†and senior associate Nguyen Thi Phuong Nga, who are based in Ho Chi Minh City,¬†advised Nawaplastic Industries on purchasing a further 29.5% of Bin Minh Plastics Company for $102m. Other clients include Vinhomes and leading private equity houses, including Partners Group. Kevin Hawkins¬†is now at ZICO Law. Named individuals are based in Hanoi except where stated otherwise.

VILAF's Tran Tuan Phong in Hanoi advises Marubeni on its role as EPC contractor for the 600MW Thai Binh 1 coal-fired power station, and is assisting the same client, as well as KEPCO, as investors of the 1.2GW Nghi Son 2 project. In Ho Chi Minh City, Vo Ha Duyen, together with Ashurst , is advising JBIC as arranger of the financing of the Vung Ang 2 power project. Other work concerns transport projects.

  • The Law On Price by Dr. Nguyen Anh Tuan, LNT & Partners

    On 6/20/2012, the National Assembly voted to adopt the Law on Price (the "LOP") in response to the public demand for an effective legal framework to control price manipulation from dominant enterprises such as gasoline, electricity, etc. The law will take effect from 01/01/2013 and repeal Ordinance No. 40/2002/PL-UBTVQH10 dated 26/4/2002 of the National Assembly Standing Committee (the "Ordinance"), which is conceived as outdated and containing certain provisions contravening the WTO’s regulation. This article describes the main features of the law and provides some insight into its potential impacts on the Vietnamese economy.
