Position

Nadim is an experienced corporate lawyer specialising in equity investments, disposals, and mergers and acquisitions. He advises high-growth companies on venture capital and private equity transactions, including seed and series A, B and C investment rounds, convertible loan note investments, and strategic acquisitions and exits (most recently for Accel Partners, Ventech, and founders of Hassle.com).

Nadim also advises the venture capital firms and corporate finance houses that serve high-growth companies in the UK and overseas. He is experienced in dealing with direct and indirect overseas investment in UK businesses, having worked closely with Apax Partners for two years on the equity investments by the Chinese, Australian and Singapore sovereign wealth funds.

Nadim is well placed to advise on mergers, acquisitions, disposals and investments, joint ventures, shareholder arrangements, and management team mandates, across a broad range of market sectors.

The continued success of Keystone Law's practice has been reflected by the growth of its team, which was recently joined by John Haggis from Sheridans. In addition, the firm expanded its offering in Northern Ireland in 2017, following a merger with Belfast firm McMahon McKay. Illustrative of the strengths of its offering, the firm acts for clients such as BBC Worldwide, Ladbrokes Coral Group and Tesco Mobile Limited. A team led by Jimmy Desai, Nadim Zaman and Anthony Misquitta is advising Intersection on an agreement with Primesight and BT to bring Links machines to the UK (enabling customers to access super-fast WiFi by standing close to a Links machine). Meriel Pymont assisted Twig World Limited (a developer of digital education resources) with an agreement to create core curriculum science products for the State of California. Keystone Law counts start-ups, high-growth companies and large corporates, as well as private investors, venture capitalists and angel investors, among its clients; it has a particular focus on the TMT, healthcare and real estate sectors. Nadim Zaman advised WFL Media (trading as DesignMyNight) and its shareholders on its $30m sale to private equity-owned The Access Group; Andrew Stilton and Northern Ireland-based JP Irvine, who joined the firm from an in-house position at Translink Group, acted for pre-cast concrete products manufacturer CPM Group on its £38m sale to hard landscaping specialist Marshalls; and Catherine Williams assisted beauty services provider Blow with a £3.5m follow-on equity round investment by Unilever Ventures.
