Osborne Clarke's team is known for its strength in digital business, small and mid-cap private equity and growth capital, while also possessing experience in energy, media, retail, and real estate and infrastructure, among other areas. Cross-border transactions expert Sara Valentine] heads the Thames Valley corporate practice and acted for the selling shareholders and management team on the sale of CRM and client accounting software provider Reapit to a new company backed by management and technology-focused business investment firm Accel-KKR. Valentine was supported on this deal by associate directors Caroline Drummond and Mike Freer, who are noted as rising stars. National head of corporate Greg Leyshon advised the management team and selling shareholders of the Leisure Pass Group on its £35m sale to Exponent Private Equity and Big Bus Tours, and private equity specialist Rob Wood advised all shareholders, including LDC and Octopus, on the sale of Clifford Thames Group to US trade buyer OEConnection. Other projects of note included India group co-head Jeff Chang handling Infosys’ £7.5m acquisition of Brilliant Basics and commercial lawyer Russell Bowyer advising Hyundai on the design and launch of its Click to Buy vehicle website.

Russell Bowyer heads up the technology practice in the firm’s Thames Valley office in Reading and advises sector clients including Hyundai, SMART Technologies and Vodafone on contracts, joint ventures, collaborations and outsourcings. Bowyer and Will Robertson handled DER Touristik’s cross-border acquisition of a brand reservation system from Atcore, and Bowyer also advised Hyundai on the design and launch of its Click to Buy vehicle web site. Corporate IT specialist Sara Valentine acted for the selling shareholders and the management team on the sale of CRM and client accounting software provider Reapit. Commercial litigator Peter Sheppard is the key figure for contentious IT matters, possessing experience in all aspects of technology litigation, and is the firm’s contact partner for the Redwood Group.

The firm’s Reading office regularly co-ordinates with its Silicon Valley office, allowing it to effectively service strong US tech clients. Commercial practice head Russell Bowyer specialises in non-contentious work, with an IP caseload spanning trademarks, patents, copyrights and design rights. Bowyer and IP litigator Robert Guthrie advised longstanding client Hyundai on the IP aspects of a widely publicised advertising campaign for the Hyundai Santa Fe, which involved Patrick Bergel, the great-grandson of Ernest Shackleton, driving a slightly modified Santa Fe on a 5,800km journey across the Antarctic. Bowyer also co-ordinated with corporate partner Sara Valentine on the sale of Rush Hair to LDC, in particular advising on the IP issues raised in the renegotiation and novation of its template franchise agreement. Senior associate Joanne Loveridge focuses on technology exploitation and managing trade mark portfolios, and notably worked with Bowyer on the provision of an opinion to ActiveOps on its IP strategy, with a focus on potential threats and opportunities for exploitation.

  • THE VAT E-COMMERCE PACKAGE

    A. INTRODUCTION   The VAT E-commerce Package adopted by the Council on the 5th of December 2017 includes several changes that will be gradually implemented, some changes will be effective as from the 1st of January 2019 and the rest as from the 1st of January 2021.
  • Doing business in Ukraine: turning point for the currency control in Ukraine

    One of the most hotly discussed topics in 2019 is currency control liberalization in Ukraine.The currency control liberalization was one of Ukraine‚Äôs priorities under the EU-Ukraine Association Agreement. At the beginning of 2019 the National Bank of Ukraine (hereinafter the ‚ÄúNBU‚ÄĚ) approved and promulgated all long-awaited regulations, serving as the basis for a new liberal¬†system of foreign currency control. The new¬†currency control¬†system will be launched on 7 February 2019, the same day as the Law of Ukraine¬† On Currency and Exchange Transactions¬† becomes applicable. The changes are aimed at deregulation, facilitating cross-border transactions with foreign currency and expanding the list of available foreign currency transactions.
  • New Long Term Residency Visas

    After much media coverage, Cabinet Decision 56 of 2018 (the Decision ) has been gazetted which introduces new long term residency visas to, amongst others, four categories of persons in the UAE. 
  • Significant Changes to Civil Procedure Code

    Significant changes to Federal Law No 11 of 1992 (the Civil Procedure Code ) will soon be coming into effect. These changes are introduced through regulations (the Regulations ) issued under the Civil Procedure Code and will come into effect on 16 February 2019.
  • Merger Clearance Matters

    The United Arab Emirates (the UAE ) promulgated legislation to specifically address the regulation of competition (being Federal Law 4 of 2012, or the Competition Law ) several years ago but until recently, it has been the case that the requisite implementing regulations and processes were not in place. This is no longer the case. Not only have the much anticipated implementing regulations been issued, the UAE Ministry of Economy (the Ministry ) (being the regulator in charge of administering the UAE competition regime) has now formed the required committee and issued the anticipated guidance and forms to allow concerned parties to make merger clearance submissions to the Ministry where required to do so pursuant to the Competition Law.
