Position

Claire has extensive experience in advising listed and private companies, funders and private individuals in a wide range of company corporate finance and commercial matters from start-up and spin-out through funding rounds and acquisitions to flotation or trade sale. Claire has also advised on and established various types of fund structures using limited partnerships, limited liability partnerships as well as company vehicles. In addition to her mainstream corporate practice Claire has extensive experience of advising higher education institutions and other public sector bodies on various corporate matters including spin-outs, mergers and collaborations.

Many of its corporate matters have an international element; in 2016 it handled deals involving more than 75 jurisdictions including China, Canada and Australia. It is regularly called on to assist listed companies, as demonstrated by its advice to technology distributor Midwich on its £165m AIM listing, which included a £75m fundraising round and involved cross-border due diligence due to the company’s interests in France, Germany and Australasia. Other public company highlights included acting for Paypoint on the £14.4m sale of its online payment business to Capita. On the private company side, the team advised StepStone UK on the acquisition of graduate recruitment website Milkround Online Limited from News UK, and assisted Kaplan International Colleges UK with the creation of a new joint venture with the University of York to facilitate the recruitment and teaching of overseas students. The team is jointly led by Tom Pickthorn, who specialises in international matters, and Claire Clarke, who has particular expertise in the education sector and in the formation of investment funds. ‘Pragmatic and robust’ venture capital specialist Zickie Lim is noted for her ‘acute drafting and negotiating skills and commercially-rounded, sensible advice’. Clients also recommend charities expert Neil Burton for his ‘attention to detail, availability and proactive involvement’; capital markets lawyer Stephen Hamilton; and Anthony McGurk, who is ‘outstanding for high-level work’ in the private equity space.

Based out of Cambridge, Mills & Reeve LLP provides an ‘excellent service and value for money’ to a range of clients includes institutional venture capital funds, business angels and technology companies. On the investor side, the firm provides expertise from "cradle-to- grave", from fund structuring through to subsequent investments, portfolio management and exits. Team head Zickie Lim continues to handle a raft of work for Mercia Technologies on its direct portfolio investments, including its investments in Impression Technologies, Soccer Manager and Crowd Reactive. Lim is also well regarded for her university spin-out work; she recently advised Cambridge University spin-out Inotec AMD, on its £4.5m Series A fundraising. The ‘pragmatic, efficient, reliable and knowledgeable’ associate Pippa Pearce assisted on the aforementioned matter and is a key member of the team that also includes Claire Clarke, who handles the fund creation and structuring work.
