• Eurapharma Care Services Ltd (CFAO Group) is a member of the CFAO group operating in the health care and diagnostics industry instructed the Firm to provide advisory services and to represent the Client throughout the negotiation process of consultancy and direct billing agreements in respect of the provision of health care services to employees and dependents of a leading gold mining firm. As part of our deliverable, the Firm conducted a comprehensive review of the contracts and company policies and negotiated favorable terms on behalf of the Client. The Firm also advised the client on the relevant regulatory compliance concerning the transaction.

• The Firm advised Uhuru Investment Partners, a private equity investment firm that is undergoing a merger process with key industry players in the insurance sector. As a result of the new regulatory corporate governance framework in Ghana which introduced business reforms to promote transparency and accountability, we were instructed by the Client to advise on the appropriate legal and shareholding structure under the new regime, the rights and obligations of the shareholders and ultimately to assist them to meet their business needs. Following our legal advice, we updated the Client’s compliance status with the various regulatory authorities.

• The Firm also represents Emiral Resources Ghana Ltd, a multi-national mining support services company, on all legal, regulatory, and operational matters as it pertains to the mining industry in Ghana. Work undertaken includes a legal review and analysis of relevant laws such as the Minerals and Mining Act 2006 (Act 703) as amended by the Minerals and Mining (Amendment) Act 2015 (Act 900), the Free Zones Act, 1995 (Act 504) and Ghana Investment Promotion Centre Act, 2013 (Act 865). The Firm also conducted due diligence on behalf of the Client to verify key licenses and permits required to undertake prospecting activities and mining operations in Ghana to advance the business objectives of the Company.

• The Firm provided Fidelity Securities Limited with a legal opinion taking into account the various applicable laws, the prospectus sent to the customers, various correspondence, and other documents by conducting a risk assessment, providing full-scale strategic legal advice, and successfully assisting the company to reach an amicable settlement with its investors, vis-à-vis compliance with official directives from the Securities and Exchange Commission.

• The Firm currently advises a Development Management Company, Summerton Group Limited in respect of the Development and Management of several lands and properties in different parts of the Country. The firm advised on the partnership between our Client and the Developer, prepared the relevant agreements, and advised on the compliance requirements.

• The Firm advised a Portuguese company Explonorte LDA (Lino Fonte), on the manufacture and supply of explosives with a minimum volume of 1,000 MT of the Product (Metric Tons) annually) to a Ghanaian company for a period of 10 years. We reviewed and advised on the Purchase and Supply Agreements and also advised the client on the protective mechanisms that could be explored in the event of default.
