The firm: Founded in London in 1978, Memery Crystal is a multi-service London law firm. Commercially aware, entrepreneurial in spirit, international in outlook, and pragmatic in approach. It is especially well-known for its transactional, advisory and regulatory work advising successful businesses, their leaders and investors. It is a recognised leader in a number of sectors, including natural resources, real estate, commercial, IP, and technology (CIPT), banking and finance, and retail and leisure.
In 2021 it became part of AIM listed professional services group RBG Holdings plc, and now forms the legal services division alongside sister brand disputes powerhouse Rosenblatt.
Types of work undertaken
Banking and finance: the banking and finance team includes leading experts from the fields of finance and real estate. It acts for some of the most active challenger banks and acquisitive investors and developers nationally and internationally. The team handles a variety of debt finance transactions for both borrowers and lenders, often involving cross-border security structures. Expertise covers acquisition finance, convertible debt, general corporate lending, retail corporate bonds, and property finance.
Commercial, IP and technology (CIPT): the CIPT team handles the full range of commercial contracts, with particular expertise in technology contracts (including outsourcing), market channel arrangements (sales, distribution, franchising), and the enforcement and exploitation of intellectual property rights. Advisory strengths include contract drafting and negotiation, IP protection and infringement, data protection and privacy, and the law relating to gambling. Sector specialisms include fin-tech, health-tech, gambling and gaming, software licensing, digital media, and industrial manufacture and energy. Clients range from entrepreneurial SMEs through to global corporates.
Corporate: the corporate team advises on all aspects of equity capital markets, M&A, and debt and private equity for UK and international companies, institutions, investors, and entrepreneurs. They carry out market-leading work advising on IPOs and secondary fundraisings, with a strong reputation for advising on AIM, Main Market, and dual listings. The team advises on all aspects of public and private mergers, acquisitions, and disposals, with expertise in handling international M&A transactions.
Dispute resolution: (Disputes services are undertaken by sister brand Rosenblatt) the team handles substantial and complex multi-jurisdictional commercial disputes. It has sector expertise in financial services, insolvency, fraud, natural resources, and international trade. With its market-leading reputation, the team has been involved in several significant disputes in recent years, achieving successful outcomes for its clients.
Employment: the team acts for fully listed and AIM listed companies, providing for all their employment needs and facilitating advice on share incentives, pensions, and immigration. They are recognised for their excellent work for board directors and senior employees across a number of sectors including financial services and insurance, natural resources, and asset management. Expertise covers contentious and non-contentious matters, including contract and policy drafting, discrimination issues, managing discipline and performance, and redundancy and restructurings, including at a board level. The team represents clients in the high court and the employment tribunal. It offers a highly tailored service and has a successful track record.
Real estate: the firm has a full-service real estate practice which has a reputation for providing clients with clear and practical advice. The close-knit and highly efficient team is known for its expertise in handling all aspects of property investment, financing, development, landlord and tenant issues, construction, planning, and all manner of disputes in the commercial and residential space. Clients include overseas companies and investors actively involved in the UK market as well as major developers, retailers, financial institutions and property owners. The team works extensively with other specialists in the firm in related practice areas such as corporate, banking and finance, tax, and wealth structuring.
Real estate private client (REPC): the team specialises in acting for private property companies as well as high net worth individuals on the acquisition, letting, and disposal of high-end developments.
Tax: the tax department advises on a wide range of real estate and corporate matters in both domestic and cross border transactions. It has significant expertise in advising occupiers, investors and developers on a variety of taxes, and regularly provides advice to corporate clients and entrepreneurs on restructuring, demergers, joint ventures and tax efficient investments and exits. The team also regularly advises on the design and implementation of share options and incentives.
Wealth structuring: the team acts for high-net-worth individuals, their families, businesses and trustees in the structuring of personal and business interests held both in and outside of the UK. It handles a range of both tax and succession planning-focused instructions in what are increasingly transaction-driven circumstances. Expertise includes acquisition, structuring, and investment into UK real estate, both residential and commercial.
