Position

Corporate partner advising a full range of clients on all aspects of company law, dealing with company and business acquisitions and disposals, with particular experience in MBOs. Helen advises on early stage funding rounds and investments for both companies and investors. She also deals with insolvency related transactions, including acting for insolvency practitioners. She has particular expertise in corporate reorganisations, including solvent liquidations, demergers and the implementation of other tax planning schemes. Helen also acts for borrowers and lenders and is a member of the firm’s banking team.

The Cambridge office of Penningtons Manches Cooper LLP acts for both lenders and borrowers in key sectors including real estate, travel, leisure, education, technology and private wealth. In 2018, the firm was appointed to the HSBC banking and finance panel, and continued to receive instructions from long-term clients Link Asset Services and AIB. Practice head Helen Drayton is a recognised expert in acquisition finance, MBOs, bilateral lending and development finance. Real estate finance specialist Sarah Coates is also recommended.

The firm hired experienced real estate litigator Andrea Nicholls from Greene & Greene, who has particular expertise in property-related insolvency disputes.

Banking and finance work at Penningtons Manches Cooper LLP includes advising lenders and borrowers on finance agreements as well as support with both contentious and regulatory matters. The team specialises in complex advice on finance agency provisions, handling transactions which often involve overseas jurisdictions. On the contentious side, the practice is well versed in claims based on interest rate swap misselling and LIBOR rigging. Sector specialism on the borrower’s side includes healthcare, retail and social housing. Helen Drayton  and John Chater, who was made partner in April 2019, are recommended, while Angela Stallard joined from EMW Law LLP in May 2018.
