Jonathan specialises in investment fund and asset management-related matters.

These include public and private capital raisings, M&A activity and regulatory advice.

Jonathan works with asset managers, investment banks and corporate clients throughout the world and across all asset classes. Much of the work involves dealing with offshore financial centres, so Jonathan is very familiar with their laws and lawyers.

The practice at Hogan Lovells International LLP has strong issuer and underwriter experience, and is frequently active in a wide range of sectors. Though active mostly on the AIM, the team also handles Main Market matters: group heads Maegen Morrison and Daniel Simons acted for J.P. Morgan Cazenove and Numis Securities on its £80m equity placement in brewery business Marston's, and Don McGown assisted Shaftesbury with a £265m Main Market placement. The team has seen several changes in the last year: the US-qualified John Basnage left to become managing partner at Anthem Advisory, but the team welcomed US-qualified counsel Bryan Stephens from Linklaters LLP in March 2018. Investment funds specialist Jonathan Baird is highly active in equity capital markets; he arrived from Freshfields Bruckhaus Deringer LLP in September 2017.

Hogan Lovells International LLP's team, which is jointly led by Maegen Morrison and Daniel Simons, is active in a significant number of high-value AIM transactions; it handled 11 equity capital markets transactions on AIM in 2017. In the IPO space, Simons and senior associate John Holme acted for Cenkos Securities in the £572.7m AIM IPO of Eddie Stobart Logistics (one of the largest ever on AIM). Simons also worked with Morrison and counsel Karla Dudek to advise Canaccord Genuity (as NOMAD, financial adviser and broker) on GBGI Limited's £130.4m AIM IPO. In 2018, on the issuer side, Jonathan Baird  (who joined in 2017 from Freshfields Bruckhaus Deringer LLP) was the lead adviser to Urban Exposure Plc on its £150m institutional placing and AIM listing. Beyond IPOs, the firm also handles secondary fundraisings and other complex transactions. The firm's clients also include names such as Acal Plc, Shaftesbury Plc, Macquarie and Liberum. Sarah Shaw joined in January 2018 from Allen & Overy LLP, while US-qualified securities counsel Bryan Stephens is another recent arrival. In other developments, John Basnage  moved to Anthem Advisory and Nigel Read departed to become a consultant at NR Transaction Consulting.

Hogan Lovells International LLP strengthened its investment fund team in 2017-18 with the recruitment of Jonathan Baird from Freshfields Bruckhaus Deringer LLP in summer 2017 and the promotion to partner of Jeremy Pickles at the start of 2018. Pickles advised CATCo Reinsurance Opportunities Fund, which owns insurance-linked securities concerning catastrophe reinsurance, on a $543m  capital raising.  Practice head Erik Jamieson  advised HICL Infrastructure Company Limited, a FTSE 250-member infrastructure fund, on a fundraising which raised £260m, beating its £205m target. Investment bank highlights included advising Canaccord Genuity as sponsor of the IPO of Aberdeen Standard Europe Logistics Income. Work concerning new funds include Pickles' advice to Sherborne Investors on forming activist fund Sherborne Investors Guernsey C, which raised £700m. Other clients include International Public Partnerships Limited, John Laing Environmental Assets and Urban Exposure, which Baird advised on its £165m flotation on AIM.

At Hogan Lovells International LLP, Sian Owles  advised Land Securities on restructuring the Metro Shopping Centre Fund, including the exit of one investor - she also has experience of residential deals, including student accommodation. Nicholas Holman advised M&G Real Estate on its formation of a value-add closed ended fund. In listed real estate funds, Erik Jamieson advised Canaccord Genuity as sponsor and bookrunner of the IPO of Aberdeen Standard European Logistics Income PLC. Jonathan Baird joined from Freshfields Bruckhaus Deringer LLP and advised Urban Exposure (which lends to residential real estate developers) on its flotation on AIM.

The group assists private and publicly listed companies with a wide range of matters, such as the design and operation of corporate governance policies and procedures, executive remuneration, AGM issues, reviews of annual reports and directors' duties.¬†Consultant Richard Ufland, Paul Randall, counsel¬†Tamsin Nicholds¬†and counsel Philip Corserhave¬†advised longstanding client MP Evans Plc on matters such as compliance with the Disclosure of Transparency Rules, market abuse, constitutional matters (including reviews of constitutional documents) and share option scheme arrangements. On the contentious side,¬†Crispin Rapinet¬†is acting as the lead adviser to Caisse de d√©p√īt et placement du Qu√©bec (as a major shareholder of Bombardier Transportation) on investigations into alleged bribery at a Bombardier subsidiary. Other clients include ITV, Mars and NATS. Andrew Pearson, who has retired from private practice, was succeeded by Jonathan Baird¬†as the head of the practice.
