The firm: AVEST Abogados was formed in July 2017 by Rafael Ortiz de Solorzano, Juan García-Mochales, Nicolas Martin de Vidales and David Bara, four Madrid-based lawyers and economists each of them with 25+ years of experience, and their respective teams.

Among the firm’s clientele there are large, medium and small sized national, foreign and multinational companies, start-ups or public institutions, as well as individual investors engaging in sectors such as food and beverage, engineering, procurement and construction, energy and utilities, biotech, health, financial service or education.

The firm, albeit recently set up and aimed at preserving its ’boutique’ vocation, is intended to steadily grow throughout the next years starting with the recruitment of a partner specialising in employment law.

Areas of practice
General advice: including inter alia incorporation and legal development of companies; advice to management and boards of directors; legal assessment of new projects and ventures.

M&A: the firm has proven experience in private equity, venture capital and M&A transactions, including recapitalisation, divestitures, MBO, MBI and other leveraged buyout structures, mergers, acquisitions, spinoffs, segregations and business branches’ disposals.

Corporate and commercial: we advise local and international companies and business men on their day-to-day legal activities, including general counselling work, compliance, personal data protection policies, agreements’ drafting or business restructuring.

EPCM contracts: advises on engineering, procurement, construction, operation and maintenance contracts relating mainly to electric power generating plants, including renewable energies, power transport and distribution, and related finance.

Banking and finance: we advise on a wide range of banking, financial and investment activities, with ample experience in lending, both cross-border and syndicated, restructurings and reorganisations, regulatory matters, export finance and project finance, fraud prevention, leasing and factoring.

Litigation and arbitration: the firm advises on complex disputes to attain the best possible results at minimal costs and client’s business disruption. Two of our partners are experienced arbitrators and members of the Madrid Court of Arbitration and other arbitration chambers.

Tax: provides advice and assistance to mitigate corporate tax risk, develop new business and optimise resources, assisting our clients in their day-to-day tax challenges, compliance, national and international tax planning, transfer pricing, tax audits, tax litigation, due diligences and proceedings related to the Spanish Inland Revenue authorities.

New technologies and intellectual property: we offer advice on e-commerce, copyright, patent and trade mark, privacy, Spanish and EU telecom law and advertising law related matters.

Insolvency: we advise in respect of insolvency proceedings, including receivership and winding up of companies.
