We advised GREAT NORTHERN DISTILLERY LIMITED (GND) on the successful completion of a further €2,500,000 investment in the company through the Employment and Investment Scheme (EIIS).

This investment is the fourth tranche of EIIS equity we have been involved in with GND having raised €5,000,000 in December 2016, €5,000,000 in December 2015, and €2,500,000 in December 2014.

The team was led by Bernard McEvoy.

We were involved in reverse takeover with EQTEC PLC (EQTEC), the AIM listed technology solution company for waste gasification to energy projects.

EQTEC successfully acquired the entire issued share capital of EQTEC Iberia SRL (EQTEC Iberia) for a total consideration of £14 million, satisfied by the issue of 833,864,531 Ordinary Shares (Acquisition) to the Vendors Inava Ingenieria de Analisis SL and EBIOSS Energy SE.

In addition to the Acquisition, in order to fund the working capital needs of the enlarged group and the continued development of its near-term pipeline the company has undertaking a placing raising a further £1.6 million by the issue of 246,153,847 ordinary shares at 0.65 pence.

We advised on the Irish aspects of the €215m (£190m) refinancing of Generator Hostels for private equity real estate fund manager Queensgate Investments seven months after buying the business for €450m.

The cross-border refinancing covers 10 jurisdictions and was provided by Société Générale and HSBC in the form of a five-year loan. It replaces a “low quantum” of leverage from several institutions that Queensgate inherited following the deal to acquire Generator from Patron Capital. Queensgate said it elected to refinance the portfolio in order to invest in new freehold assets and enhance existing products and services.

We advised the sellers (excluding Enterprise Ireland) on the sale of Ardmore Studios to Ion Equity. This sale had additional complexity due to the presence of Enterprise Ireland as a 33% shareholder of Ardmore Studios.
