Position

Sander Kärson, co-heading the M&A practice, is involved in most of the firm’s transactional work, while his special focus is on IT and pharmaceuticals. He has a solid transaction work background from Sorainen and Ellex Raidla. His recent work highlights include advising Euroapteek on the acquisition of Ülikooli Apteek pharmacy chain in Estonia, advising Cybernetica on selling navigation systems business unit to TSX listed Carmanah Technologies Corporation; advising AK Systems in selling IT services business to Telia Estonia; advising strategic investor Viru Haigla on the acquisition of Karell Ambulance from U.S. Invest and advising pharmaceuticals producer Kevelt in selling its IP rights to oncologic drug candidate Virexxa to a listed US biopharmaceuticals company Xenetic Biosciences in the first and only transaction of its kind in Estonia. 
In addition to transactional work he often advises both local and foreign investors regarding their cross-border operations. For instance, he recently advised a major Finnish communications group Miltton on entering a joint venture with recognised political PR experts in Estonia: advised Estonian bathware manufacturer and exporter Eumar Sanitaartehnika in expanding its business to Finland and advised more than 30 companies and individuals with a Finnish background in making an investment into an Estonian company 1Home Group.
He was also a member of the team conducting a large-scale legal audit for the state-owned company Eesti Energia analysing management board liability issues relating to the management exceeding the originally approved budget for the Enefit280 shale oil plant.
Sander is a member of the Ministry of Justice’s corporate law audit committee that has been set up to review all legislation regulating the corporate/commercial field. Also, he co-authored the suretyship and guarantee sections’ commentaries on the General Part of the Law of Obligations Act.

At¬†TGS Baltic, a notable mandate for the M&A team was advising pharmacy chain Euroapteek on its acquisition of¬†√úlikooli Apteek, while the corporate team was involved in the restructuring of¬†M√łller Real Estate Baltic.¬†Leonid Tolstov¬†heads the firm's corporate practice, while newly promoted partners¬†Kadri Kallas¬†and¬†Sander K√§rson¬†lead in M&A work. Other key clients for the firm include Cybernetica,¬†Merck Sharp & Dohme, and Talot, which the firm advised on its¬†‚ā¨10.5m¬†acquisition of¬†Lasbet.
