The dispute resolution team is routinely involved complex national and multi-jurisdiction litigation and arbitration for Italian and foreign clients in disputes concerning M&A transactions (such as pre and post-closing litigation and Shareholders’ Agreements), joint ventures, commercial contracts, IP, banking, finance and insurance litigation.

The members of the team usually serve as counsel or arbitrators in complex proceedings.

Corporate, M&A: Hi.lex provides assistance in both domestic and international mergers, demergers, acquisitions, sales of businesses and, in general, in any other extraordinary financial transaction related to the transfer, consolidation and reorganisation of both listed and non-listed companies.

Hi.lex assists industrial operators and private equity, venture capital and private debt operators in relation to leveraged/ management buy-out and management buy-in transactions, crowd funding, start-ups and in general in the acquisition and dismissal of equity investments; we also assist investment banks and advisory companies in setting up the appropriate corporate structures within the context of the proposed transaction.

Real estate: Hi.lex provides assistance to Italian and foreign real estate operators (such as real estate funds and companies, construction companies, financial investors) in relation to the purchase and sale of real estates or real estate portfolios, the acquisition or disposal of investments in real estate companies, as well as the setting up, management and liquidation of real estate funds.

Hi.lex real estate team is also involved in projects for the restoration, development and sale of commercial, residential and industrial sites as well as in the drafting of construction contracts. In the hotel and tourism sector.
