Banking and finance: Our firm assists financial institutions and industrial companies in a wide range of financial transactions, through a structured team with a consolidated track record and significant experience in innovative and complex transactions, capable to provide assistance to banks and private debt funds, as well as sponsors and borrowers.

Capital markets: The firm offers market-leading capability on securities offerings of all kinds, advising corporate issuers and underwriters on international and domestic equity and debt capital markets transactions and providing clear insight into regulatory considerations. The firm has also deep experience in public company M&A transactions, spanning a number of industries and representing bidders and target board of directors as well as shareholders in takeover situations. Corporate and commercial matters: The team represents financial and industrial clients, both Italian and international, in a wide variety of corporate and commercial matters. The firm provides assistance in connection with any aspects of its clients’ business cycle, with a specific focus on structuring of national and international commercial networks The firm’s corporate activity includes:

Real estate: Our experience in the real estate sector, strengthened by a close relationships with professional firm specialized in administrative and urban matter, allows our firm to provide legal assistance and advice:

Restructuring and insolvency: The firm deals with debt restructurings and turnaround transactions, providing assistance to banks, funds, financial institutions and companies.

In particular, the team has gained significant experience in cross-border transactions, and it can provide innovative and tailor-made solutions along with the tools acquired from experienced market practice and provided for by sector regulations, including, negotiated crisis settlement, agreements in execution of a recovery plan, debt restructuring agreements and compositions with creditors. The firm also assists banks and funds in connection with the granting of super-senior financing in the context of distressed M&A, as well as divestment of impaired loans.

Tax: The firm is specialised in assisting investment funds and large and medium-sized financial and industrial enterprises on both domestic and international direct and indirect tax matters. It also advises on the tax related matters concerning high net worth individuals and families. There is special focus on tax litigation and pre-litigation. The firm has developed an in-depth knowledge and experience of the tax matters pertaining to extraordinary corporate transactions and to the entire lifecycle of Italian and foreign private equity, private debt and real estate investment funds.
