Corporate and commercial: the firm advises foreign and domestic clients on general corporate matters on a daily basis, and represents clients as general counsel in all aspects of their corporate life, from setup to development and operation. It assists clients in meeting the requirements placed on them by company law. Services include formation and organisation of new business ventures; corporate governance matters; and establishment of subsidiaries, branches and representative offices. The firm has extensive experience in transactions ranging from larger international property transactions to small and medium deals, and advises on customer/supplier agreements; consumer law and credit; terms and conditions; sponsorship; franchising; and contractual liability.

Mergers and acquisitions: the firm provides clients with a full range of corporate and M&A services tailored to meet their business needs. It brings a business-oriented focus to transactions and the close attention of senior attorneys who understand clients’ industries, business contexts and concerns. The firm advises on public and private mergers and acquisitions; buyouts and takeovers; complex divestitures, recapitalisations and restructurings; and spin-offs and going-private transactions.

Banking & Finance: the firm provides full support to national and international clients in all the banking & finance matters. RML lawyers provided representation services to banks and non-banking financial institutions with regard to issues such as domestic and cross-border investment plans, banking reorganizations, multi‑jurisdictional financing and refinancing, as well as liability management, syndicated lending, workout programs, leveraged finance and restructurings. Its lawyers handled a significant number of merger clearances issued by the Romanian Competition Council and were involved in merger control proceedings before the European Commission as part of multi-jurisdictional teams. The firm makes filings on short notice even in complex cases, and harmonises the transactional schedule with the merger control procedure.
