Position

Partner specialising in public and private mergers and acquisitions, corporate reorganisations, and privatisations. Recent work includes advising Safran on its public offer for Zodiac Aerospace and on its space-launcher joint venture with Airbus; Bouygues Telecom on its partnership with Cellnex; Air France-KLM on the sale of 49.9% of the share capital and operational control of Servair to HNA (Gategroup); Sopra on its takeover of Steria; and the French State on the recapitalisation of Peugeot-Citroën.

Career

Before founding BDGS Associés in 2013, Antoine Bonnasse was a partner since 1996 at Gide Loyrette Nouel where he started his career in 1986. He was subsequently seconded, as legal adviser, to the Economic Development Mission of the French Embassy in Washington DC (1987-1988).

BDGS Associés has a track record handling high-profile restructuring cases and stands out in particular for its ability to handle matters involving listed companies or the French state. It notably acted for the French state as lender to leading newspaper distributor Presstalis on the latter's restructuring. The team primarily acts for debtors, shareholders and investors. It assisted Metalcorp with its take over bid for Ascoval, as well as Necotrans with matters pertaining to the opening of eleven receivership proceedings over its French entities. Anne-Sophie Noury is the key name and the firm's co-founder Antoine Bonnasse is also noted.

Adept at assisting with domestic and cross-border transactions alike, the practice increasingly reaps the rewards of adding its tax and competition and regulation departments in 2014 and early 2016, respectively, as well as a restructuring department later in 2016. In a recent highlight requiring both corporate and antitrust expertise, Youssef Djehane led corporate advice for Carrefour on a five-year renewable partnership with Coopérative U Enseigne involving the creation of a joint venture with key suppliers of the two groups. Antoine Bonnasse and Thomas Meli advised Safran on its €7.7bn acquisition of Zodiac Aerospace. Lucile Gaillard, Marc Loy and Jean-Emmanuel Skovron are other key contacts. Bouygues Telecom, Bpifrance and CMA CGM also count among the team's clients.
