Partner specialising in public and private mergers and acquisitions transactions, as well as in securities law, advising leading industrial groups and institutional investors on complex cross-border transactions, and major investment funds on a large number of transactions, including LBOs, takeover offers, and PtoPs.
Recent work includes advising ENGIE on the sale of Equans to Bouygues; advising Thales on the sale of its ground transportation systems business to Hitachi Rail; advising KKR on its participation in the €100 million Series C financing of Ornikar via the subscription to a capital increase and the acquisition of shares from existing shareholders; advising OpenGate Capital on the sale by B&M Holdings SARL and various managers of their shareholdings in Bois & Matériaux, Bois & Matériaux Distribution and Panofrance to Chausson Matériaux; and advising OpenGate Capital on the sale by its portfolio investment company SMAC of its entire stake in Axter to IKO.
Before joining BDGS Associés in 2014 as partner, Thomas Méli was counsel at Linklaters where he started his career in 2004. He was seconded to Caisse des Dépôts et Consignations for a 7-month period in 2009.

Founded in 2013, BDGS Associés recently bolstered its capacity for a full-service on M&A transactions through the creation of dedicated restructuring and financing departments. Antoine Bonnasse thrives in listed and non-listed company M&A while Youssef Djehane ’s core fields of focus include takeovers, corporate governance affairs and shareholder disputes. The pair co-founded the firm alongside state investment and public sector transaction expert Jean-Emmanuel Skovron, and the team also includes Marc Loy and Thomas Meli, both particularly active on the cross-border front.
Créé en 2013, BDGS Associés a récemment complété son expertise de fusions-acquisitions en se dotant de compétences complémentaires en matière de restructuration et de financement. Antoine Bonnasse intervient dans des deals cotés et non cotés. Youssef Djehane s’illustre dans des opérations de rachats et traite des sujets de gouvernance et des conflits d’actionnaires. Le duo est à l’origine de la fondation du cabinet aux côtés de Jean-Emmanuel Skovron, qui est un expert des investissements publics et des opérations touchant au secteur public.
