Managing partner Bruno Gattai led advice to British private equity firm, CVC, on the acquisition of Recordati’s majority stake from members of the Recordati family; and Luca Minoli assisted Italmobiliare with the €184m sale of its approximately 83 per cent equity stake in BravoSolutions to Jaggaer. In other matters Gerardo Gabrielli advised the over-the-top media distribution service Chili on investments into Chili by the Lavazza family, owner of the namesake coffee company, and Twentieth Century Fox; and Alessandro Dolce advised Gruppo MutuiOnline on the acquisition of 50 per cent of the corporate capital of Agenzia Italia, a company that provides outsourced services for leasing and long-term rent operators. The team assisted the global coordinators with the placement by a company, controlled by Bain Capital-managed funds, of a €410m high-yield bond. Structured finance and securitisation specialist Emanuela Campari Bernacchi and Gaetano Carrello are highly rated.
EU and competition law Tier 3
Gattai Minoli Agostinelli & Partners’ competition team handles investigations, prosecutions and provides regulatory advice to clients in a wide range of sectors. Highly regarded Silvia D’Alberti acted for five financial institutions as claimants in the investigation initiated by the ICA against MonteTitoli for an abuse of dominant position in the market of post-trading services, with specific regard to financial settlement and custody services. In another highlight, the team represented Airgreen in an antitrust investigation initiated by the ICA regarding the alleged coordination of helicopter operators in bidding for public procurement contracts for fire rescue services and air ambulance services. Senior associate Fabiana Campopiano is another key member of the practice.
Restructuring and insolvency Tier 3
Gattai Minoli Agostinelli & Partners assists debtors and creditors with both domestic and cross-border in-court and out-of-court restructuring procedures. Riccardo Agostinelli and Sergio Fulco advised the lenders, which included Banco BPM and Intesa Sanpaolo, on the restructuring of Boccadarno Porto di Pisa under Italian bankruptcy law. Gaetano Carrello is also highly rated.
