Position

Ross is a partner and head of our corporate team and, as such, he advises on a wide range of corporate and corporate finance transactions, predominately in the health and social care sectors.

His main focus at present is on GP’s and dentists.

For GP’s, Ross is helping clinical commissioning groups on the key issues they face in moving towards authorisation under the Health and Social Care Act. Ross is also assisting GP’s as providers, particularly on the formation of provider vehicles, joint ventures with private sector organisations and practice acquisitions and mergers.

For dentists, Ross specialises in the sale, purchase and incorporation of dental and orthodontic practices, knows the underlying GDS and PDS regulations that are instrumental in structuring a sale or purchase of an NHS dental or orthodontic practice, has devised an innovative structure for the transfer of GDS contracts and deals with the CQC requirements and guidance in relation to practice sales.

Hempsons is 'clearly a market leader in the medical partnership field', a reputation that is embodied by its practice head, 'problem-solver' Ross Clark , who possesses 'superb knowledge of NHS systems'. In addition to an active medical M&A practice, he also has significant experience in the formation of primary care partnership models and the establishment and reorganisations of GP Provider Organisations (GPPOs). 'Good communicator' and 'clear-thinker' Ian Hempseed advised Encompass GP Partnerships to incorporate a company limited by shares for the purpose of representing the practices within its locality and enabling it to bid for specific contracts. Faisal Dhalla is noted for his expertise in partnership disputes, while Bryn Morgan specialises in real estate issues arising out of medical partnerships. Known for providing 'frank advice', Lynne Abbess retired in July 2017, but is often called upon as a consultant.

The 'friendly, approachable and knowledgeable multi-disciplinary' health and social care group at Hempsons are considered to be 'one of the leading firms in this practice area'.Adrian Parker heads up the 'first class team', which handles corporate and commercial transactions, health and social care advice, employment law, healthcare litigation and real estate issues. It is instructed by healthcare providers, social care clients and not for profit organisations, including the Primary Care Commissioning Community Interest Company. The 'commercial and pragmatic' Crispin Pettifer, alongside the 'diligent' associate Oliver Crich, advised Dorset County Hospital NHS Foundation Trust on its procurement process for a strategic estates partnership. In another highlight, the 'amazing problem solver' Ross Clark led a team instructed by Cheshire Local Medical Committee to deliver a practice development programme to over 600 GPs and their practices, involving advice on preparation for CQC inspections, the GDPR and procurement. Also recommended are the 'hugely experienced' Stephen Evans and Adam Hartrick particularly in matters related to mental health, and inquests, respectively.
