Transaction One
Client: One Watt Solar Limited
BLP advised OneWatt Solar Limited (“OWS”), a leading clean technology company in Nigeria which deploys blockchain enabled software in provision of decentralised off-grid solar energy, in connection with the Ten Billion Naira (₦10,000,000,000) bond programme. Till date we have advised on series I of the programme, involving a Two Billion Naira (₦2,000,0000,000) private green bond issuance and Series II of the programme involving a One Billion Naira (₦1,000,000,000) private secured green sukuk issuance with an Ijarah structure.
This transaction is significant for being the first Corporate Green Bond for 15% Off-Grid Renewable Energy Project and Corporate Green Sukuk respectively in Africa. This transaction is a blueprint for similar sukuk transactions in Nigeria and it presents an opportunity for more green sukuk in the solar energy space for developing countries that show significant potential towards renewable energy for sustainable development. The transaction was complex taking into consideration that was the first of its kind in the African market.
Transaction Two
Client: Amazon.com, Inc.
BLP advised Amazon, one of the world’s largest online retailer and cloud computing company, in connection with corporate immigration concerns (in-bound); which included, advising on regulatory approvals, business permit, expatriate quota, long and short-term work authorization (STR, CERPAC and TWP) and regulatory compliance advisory on the prerequisites required for expatriates to legally work in Nigeria as well as what happens at the end of the expatriate’s employment in Nigeria.
Transaction Three
Clients: Sea Trucks Group Limited (in Liquidation) (and its subsidiary companies) (“STG”),
We advised Sea Trucks Group Limited (in Liquidation) (and its subsidiary companies) (“STG”), leading provider of offshore installation, accommodation and support services to the Oil & Gas industry worldwide, on the restructuring of the US$575 Million Norwegian law Senior Secured Bond issued by STG. We also advised STG on the amicable settlement of protracted litigations across superior courts in Nigeria, England and Singapore. The successfully resolved disputes include claims over, inter alia:
(i) the repossession of over 30 offshore support vessels chartered by a Nigerian company to operate in Nigerian oil and gas industry; and
(ii) a Bank Guarantee for the sum of Eighteen Million United States Dollars (US$18,000,000.00) involving STG, West African Ventures Limited and Guaranty Trust Bank Plc.
The successful resolution of these disputes is quite significant and important not only to the oil and gas industry in Nigeria but also key sector stakeholders, particularly, taking into consideration the impact/role the STGL plays in the promotion of local content and capacity development in Nigeria. It is also one of the biggest disputes arising from the Nigerian maritime sector.
Transaction Four
Clients: The consortium of lenders represented by Camden Private Office Ltd (“Camden”) & Gilgal Investments Company Ltd (“Gilgal”) (together “Lenders”)
BLP is providing legal advisory services to the Lenders on all aspects of project development and financing for the rehabilitation of the Kaduna and Warri refineries. This deal is significant in the Nigerian oil and gas sector, due to the impact it will have on reducing the importation of refined petroleum products.
The aim of the rehabilitation is to upgrade the Refineries to achieve a minimum of ninety percent (90%) name plate combined production capacity of Two Hundred and Thirty-Five Thousand barrels per day (235,000bpd) of crude oil.
Transaction Five
Client: Niger Delta Exploration and Production Plc (“NDEP”)
BLP is providing legal advisory services to NDEP and its subsidiary ND Refineries Limited on the financing for the construction, equipping, and expansion of a 1,000bpd to 11,000bpd modular refinery together with a sulphur hydrotreatment units situate in Ogbele, Nigeria through a facility from the International Finance Corporation.
Given NDEP’s ambitious targets for completion of the various trains of the Project, we have worked in an efficient manner with NDEP and the lenders’ counsel to ensure prompt financial close and disbursement of the first tranche of the finance, while ensuring the ultimate protection for NDEP. In addition, the Ogbele Refinery occupies a strong position as one of the few modular refineries in Nigeria and is very important given Nigeria’s push for improving the local refining capacity and reducing the importation of refined petroleum products into Nigeria.
