Omer Faruk HANSU is the Founder and Managing Partner of Hansu Law Firm. He is the head of all domestic operations of our firm in Turkey.

He provides legal consultancy services to local and international clients in the areas of Corporate Law, Commercial Law, Construction and Real Estate Law, Intellectual and Industrial Property Law, Administrative Law, Tax Law, IT and Electronic Commerce Law and Dispute Resolution Methods.

Omer Faruk HANSU provides legal consultancy services in the design, financing and implementation of large-scale projects as well as in their subsequent stages involving both national and international investors and entrepreneurs. In particular, he advises on the legal infrastructure and execution of structures such as joint ventures, consortiums and special companies exclusive to the respective project required in multilateral and large-scale projects.

In this context, he is responsible for the preparation of confidentiality agreements, letters of intent, Due Diligence reports, tax planning, post-acquisition integration and post-share transfer reorganization, settlement of M&A related disputes as well as review, drafting and negotiation of escrow agreements.

Omer Faruk HANSU advises local and international clients in the areas of real estate and construction law, particularly in the project-oriented development (for instance sale/lease) of public (treasury or municipality owned) and foundation lands, both to public authorities and private companies as project developers, within the scope of tender, development, construction and operational phases. So far, he has provided legal consultancy services in the establishment of the legal infrastructure of shopping malls, hotels, universities, hospitals and other large-scale and multi-purpose real estate investments. He has also extensive experience of the establishment and legal implementation of usufruct rights and all other overriding rights and advised our clients on the preparation of management plans.

In the area of Construction and Real Estate Law, he has significant experience in following matters including:

• • Preparation, review and negotiation of real estate purchase, sale and lease agreements
  • Preparation and review of construction agreements in return for land share and construction agreements in return for revenue share
  • Coordination and management of construction license and other administrative procedures
  • Development of urban transformation projects
  • Establishment of the legal infrastructure of energy, tourism, health, education and transportation projects on the basis of build-operate-transfer model, preparation and review of all relating agreements

He also provides legal consultancy services on commercial real estate projects, project financing, legal compliance as well as on the preparation, review and negotiation of architectural project agreements and marketing, sales and lease agreements.

With his extensive knowledge and experience in the area of real estate law, he acts for our clients in the follow-up and management of disputes arising from zoning plans and amendments, parcelization procedures, appeals against construction suspension and demolition procedures, disputes arising from preserved areas as well as cancellation of zoning practices.

As an expert on expropriation matters, Omer Faruk HANSU provides comprehensive legal services in the following areas:

• • Establishment of public interest decisions
  • Development of projects (organized industrial zone, free zone, industrial zone, technology zone, energy zone) in accordance with the public interest decision
  • Representation before the settlement commission regarding the price determined by the valuation commission
  • Determination, registration, increase, increase of expropriation value, follow-up and management of revocation lawsuits
  • Confiscation without expropriating and lawsuits for adequate pay

In public tenders, he provides legal consultancy services in the preparation of necessary agreements, participation in tenders, cancellation of tenders, investigations and representation of disputes arising therefrom. He is also specialized in the development of urban transformation projects within the scope of the Municipality Law and represents our clients in lawsuits arising these projects.

Omer Faruk HANSU has vast expertise in energy law, natural resources (water and geothermal resources) law, petroleum law, mining law and represents clients before the regulatory and supervisory authorities including the Energy Market Regulatory Authority (EMRA), General Directorate of Mining Affairs in license applications and cancellation of administrative sanctions. In this context, he has extensive experience and sectorial knowledge in the development of energy projects and provided legal services to international clients in their tender processes, including the preparation of due diligence reports.

His legal practice in the energy law includes:

• • Development and financing of large-scale energy, mining and infrastructure projects
  • Legal due diligence reports for power plant projects, corporate transactions and investments
  • Permit and license applications for the installation of renewable energy-based power plants such as water, wind and solar power plants
  • Establishment of energy companies, acquisition of energy projects and companies
  • Drafting, review and negotiation of strategic partnerships, cooperations, joint ventures, consortiums, franchise and exclusive distribution agreements as well as drilling and rehabilitation agreements
  • Preparation of legal valuation reports for international clients in privatization tenders and follow-up and management of the tender process
  • Obtaining the Environmental Impact Assessment (EIA) report and follow-up and management of lawsuits filed against the EIA report
  • Resolution of disputes arising from compensation in privatization, expropriation and compensation processes

Omer Faruk HANSU acts for both private entrepreneurs and public institutions and organizations in the establishment stages of special zones and structures related to the law of organized industrial zones, expropriation law, port law, industrial law and environmental law. He has provided legal consultancy services to organized industrial and technology zones established in all stages ranging from the establishment to the commissioning of the zones and in all subsequent operational transactions including applications for permits and licenses.

Omer Faruk HANSU is a patent and trademark attorney. In this context, he is specialized in advising local and international companies on the registration and protection of trademarks, designs, patents, utility models and traditional product names and on drafting and review of license agreements, agreements on the transfer of financial rights, know-how and technology transfer agreements. He acts for our clients in internet domain name and unfair competition disputes and represents them before the Intellectual and Industrial Rights Courts and High Courts.

In addition, with his long years of experience, he represents local and international clients in disputes arising from Cultural and Natural Heritage Protection Law. In this context, he provides comprehensive legal advice on all matters including:

• • Applications for objection against the decisions of Regional Boards for the Protection of Cultural Assets and follow-up of the judicial proceedings
  • Applications for objection against the decisions of Regional Commissions for the Protection of Natural Heritage and the judicial process
  • Disputes relating to the natural protected areas and archaeological sites

He offers local and international clients operating in a wide range of sectors including food, cosmetics, household supplies, energy, construction, health and medical devices, petroleum and mineral oil comprehensive consultancy services on tax audits and tax settlements in the areas of foreign trade and customs law. He represents private companies in tax litigation and advises on complex legal matters arising during import-export transactions.

In addition, Omer Faruk HANSU provides legal advice on the development of healthcare projects including hospitals, clinic and healthcare institutions and assists our clients in the preparation and negotiation of agreements on joint venture, construction, lease and usufruct right related to healthcare sector as well as in the license and permit processes, follow-up and participation in procurement tenders of pharmaceuticals, medical devices and medical equipment.

He also represents our clients before national and international arbitration centres including Istanbul Arbitration Centre. He also provides legal advice to international clients on the recognition and enforcement of foreign court and arbitral awards.
