Main Areas of Practice
Administrative Law and Regulation: the team continues to be a prime destination for representing clients in their interaction with government agencies and administrative bodies, members of parliament and governmental committees. We have represented clients before the Second Sheshinski Committee, the Hershkowitz Committee and many others. We advise on price control, bidding processes, and much more.

Banking and Finance: we act for a large roster of banks and institutional lenders, as well as sponsors and borrowers in all major financing, refinancing and lending transactions. We also advise private investment funds, offshore banks and credit export agencies in the local syndicated loan market, as well as leading international financial entities and international payment suppliers.

Capital Markets, Securities and Financial Services Regulation: our team thrives under the leadership of Amir Scharf, who also serves as the Vice Chairman of the Israel Bar Association Capital Markets Committee and was previously Deputy Director of the Legal Department of the Israel Securities Authority. Clients repeatedly entrust us with all their capital markets and regulatory needs, including securities and capital markets regulation; financial services regulation; banking regulation; corporate governance; reporting requirements and filings with the Israel Securities Authority and the Tel Aviv Stock Exchange; and much more.

China Desk: having established our Chinese Desk in 2007, we are among the first Israeli law firms to establish a presence in the People’s Republic of China, with dedicated attorneys both in Tel Aviv and Shanghai. Whether it is in setting up their operations in Israel or in acquiring and investing in Israeli companies, our firm provides our Chinese clients with comprehensive, one-stop-shop legal services.

Competition/Antitrust: we are widely recognized as the front-runner in Israel for antitrust law, with many of our team members former staff members of key regulatory bodies, such as the Israel Competition Authority (ICA). We handle all civil and criminal aspects of antitrust law, providing effective advice to clients before the ICA, the Competition Tribunal, and the Supreme Court of Israel.

Corporate Compliance: clients value the superior level of experience of lawyers with experience of the ICA and the Israel Securities Authority when drawing up compliance programs. We act for large Israeli companies and multinationals in a wide range of areas including securities regulation; financial services regulation; competition/antitrust; anti-corruption legislation; cross-border anti-bribery laws; and more.

Corporate and Commercial: the firm’s dynamic Corporate team supports companies from a wide range of industries on major corporate matters, as well as day-to-day commercial activities. The lawyers not only understand the local corporate framework in Israel but have extensive experience in cross-border transactions, including with the U.S., Europe, and the Far East.

Cross-border and Domestic M&A: the firm handles major local and cross-border transactions for leading Israeli and foreign clients, spanning many industries, including defense, hi-tech, autotech, banking, healthcare, infrastructure, cybersecurity, fintech and transportation.

Employment: with a successful, proven track-record in litigation before the Israeli labor courts, arbitrators, and administrative tribunals, our team represents both employers and employees across many areas, including: enforcement of labor laws, discrimination, wrongful termination, slander, sexual harassment, collective disputes, strikes and injunctions. With a unique grasp of the labor laws, we redrafted the constitution of the largest workers’ union in Israel.

Energy and Natural Resources: developers, lenders, producers, sponsors, purchasers, suppliers, distributors, governments, and regulatory authorities are among the clients benefiting from our involvement in some of the largest energy deals to date in the traditional and renewable energy fields. We advise clients on one of largest renewable solar energy projects in Israel, as well as hydroelectricity pumped-storage energy, wind energy, and more.

Environmental: we advise on the full range of environmental law, including air and water pollution, land contamination, solid and hazardous waste disposal, hazardous substances, land-use planning and development, noise pollution, radiation pollution, energy regulation and agro-ecology. We are also recognized for an annual environmental conference, a longstanding fixture on the events calendar.

HiTech and Venture Capital: our Hi-Tech and Venture Capital practice group represents founders, start-ups and investors on equity investments, loan transactions, commercial and technology transactions, joint venture and M&A transactions, founder agreements, employment matters, intellectual property, corporate governance and more. Our comprehensive experience spans Internet, cyber, defense, media, software, bio-tech, fintech, medical devices, pharmaceutical, clean-tech, smart transportation and more.

Litigation and Dispute Resolution: our insightful and well-recognized litigators bring several decades’ experience in shaping some of the most influential decisions today. We act for clients in class actions; antitrust proceedings; insurance claims; intellectual property litigation; white collar cases; commercial and contractual disputes; shareholder disputes; environmental litigation; real estate and construction litigation; private international law; international arbitration; administrative actions; and tender litigation.

Project Finance: our dedicated Project Finance department has been involved in almost every project financing in Israel in recent years, acting for banks, institutional investors, and developers in developing pathfinder and innovative financing structures for their projects, which include the development of the Red Sea–Dead Sea project and NTA in its development of the Red Line of the Tel Aviv Light Rail project.

Public Tenders and Government Contracts: we act for bidders and tender issuers, throughout the tender process, from the preliminary stages of RFI and Pre-Qualification, through the entire tender process, until bid selection and contract execution and performance. Our sophisticated and interdisciplinary team has represented international and domestic companies in some of Israel’s largest public tenders and also represent companies in complex international public tenders issued abroad.

Real Estate: we act for foreign and domestic real estate companies, private and publicly-owned developers, landowners and investors, in all aspects of real estate development, financing, zoning and construction. We act for financial institutions in land-related aspects of financing infrastructure projects and real estate regulation applied to them. We are also involved in complex large-scale projects, including some of the largest urban renewal projects.

Tax: we act for public corporations, start-ups, private companies and high-net-worth individuals reassures clients as they proceed with their strategic transactions. Our Tax department is consistently informed and up-to-speed with the M&A transactions within the firm, lending full support to ensure the transactions proceed flawlessly, smoothly and effectively. We help resolve tax litigation and appearances before various judicial instances including the Israeli Voluntary Disclosure Program. We also advise HNW clients, mainly international, in their complex trust and estate planning in Israel, as well as immigration and real estate issues.

Led by Dr. David Tadmor, our team continues to represent the children in their fight against deportation and, more importantly, for equality.
