Areas of practice

Finance and capital markets: clients include borrowers, sponsors, banks and IFIs. Credit Suisse, Akbank, Denizbank, Finansbank, Deutsche Bank, JP Morgan and EBRD are among the lenders and Zorlu Holding, Akfen Holding and Meridiam-Rönesans JV are among the sponsors/borrowers that the firm advises. The firm also advises on IPOs, secondary offerings, bond issuances and derivatives transactions.

Energy: the firm advises developers, contractors, investors and lenders on a wide range of power generation projects and assists with licensing, land, regulatory matters and project agreements. The firm advises the project company of the US$22bn Akkuyu Nuclear Power Plant. The firm also assists domestic and foreign renewable energy companies with the development and financing of wind, solar and hydropower plant projects. The firm also has a strong oil and gas practice encompassing construction, financing and operation of pipelines and gas storage facilities.

Infrastructure: the firm has experience in projects such as procurement processes, concession and PPP agreements, engineering/construction contracts and regulatory matters. The firm advised subcontractors on the $4.1bn Marmaray Transit and $1.1bn Eurasia tunnel projects. The firm also acts on 14 healthcare PPP projects for the Turkish sponsors.

Privatisation: this department is headed by the former head of legal of the Turkish Privatisation Administration. The department’s experience includes the privatisation and financing of nine power plants, the largest in the electricity generation sector to date. Recently, the firm advised the mandated lead arrangers in the privatisation of the national lottery.

M&A: the firm advises clients on the acquisition of Turkish companies, assists in conducting due diligence and successfully negotiates and implements the acquisitions in complex cross-border M&A, including share sales/the transfer of business assets, establishment of joint ventures, strategic investments and restructuring issues. The firm advised Akfen Holding on the restructuring of its operations in the energy market comprising of more than 50 renewable energy projects and the sale of a minority interest in these operations to EBRD. The firm also advised EBRD on purchasing a minority stake in the Istanbul Stock Exchange.

Corporate and commercial: the firm advises clients on corporate governance matters, such as procurement received by joint ventures under the public procurement law; TOR, PPP, BOT and BOO projects handled by joint ventures; and obtaining permits and incentive certificates, including advice on the formation of companies and ongoing matters of existing companies. The firm is advising a majority shareholder in a chemical manufacturing company on its distressed minority shareholding structure and a Spanish company in a joint venture for design and construction works in the privatisation of Turkey’s motorways. The firm assisted China Aircraft Leasing Company (CALC) in the implementation of the first true JOLCO in Turkey by closely working with the governmental authorities on structuring of the transaction and drafting of the documentation.

Real estate: the firm advises on buying, leasing, renting and selling commercial property, including industrial, investment, office, retail, shopping centres, healthcare complexes, hotels and land for commercial use. The firm also assists in commercial property disputes and clients in negotiations with various state entities on land agreements.

Dispute resolution: the firm assists in initiating proceedings before Turkish courts and domestic arbitral tribunals and enforcing foreign court decisions and foreign arbitral awards before the Turkish courts. The firm is advising and assisting an Italian majority shareholder of a Turkish melamine and plastic products manufacturer in relation to a number of disputes with its minority shareholder. The firm is also advising an international insurance company based in England on the enforcement of exclusion provisions of an insurance policy. The firm is involved in many high profile ICC arbitration cases in construction, energy and shareholder disputes.Serdar Bezen is a listed arbitrator at the London Court of International Arbitration and the Shanghai International Arbitration Center.
