Career

Paul is a corporate and commercial law partner based in Kuwait and has been with the firm since 1999. Prior to joining ASAR, Paul practiced in Canada for six years.

Paul has extensive experience in corporate and commercial law matters including the representation of local and foreign clients in franchise, establishment of Kuwaiti companies, employment, construction, taxation and agency/distributorship related matters. Paul regularly advises international construction and engineering firms on litigation and arbitration matters involving state-owned and governmental counterparties in the oil and other sectors.

Professional Experience

Construction of a stainless steel cold rolling plant in Bahrain:  ASAR provided legal counsel for the creation of a special purpose company tasked with constructing, owning, and operating a stainless steel cold rolling plant in Bahrain. Paul played a key role in drafting essential documents such as the shareholders’ agreement, as well as supply and off-take contracts.
Supply of mechanical and electrical equipment for a cement plant:
Paul acted as counsel for the client’s equipment purchase from an international supplier, enabling the expansion of a cement plant in Kuwait. He facilitated contract drafting and negotiation for fabrication, erection, supervision, and construction, including related documentation such as performance and advance payment guarantees.
Governmental projects:
Paul regularly advises international companies tendering for and participating in government sponsored projects in various sectors and those of state-owned entities such as Kuwait Oil Company. Paul advises on contract, legal and regulatory issues, in respect to tax considerations.
Secondment to multinational company
Paul served as the legal manager for a leading multinational corporation headquartered in Kuwait, overseeing all legal matters across the Middle East region. His responsibilities included advising on and implementing the corporate structure in the Middle East, negotiating and drafting franchise agreements with global franchisors, implementing structures to address potential tax implications, and negotiating and drafting various contracts such as lease agreements, employment contracts, development agreements, and distribution agreements.
