Elvan Aziz is the partner heading the corporate practice of the firm, specialising in corporate and company law, employment and real estate matters. She has also been extensively advising sellers, strategic buyers and PE clients in M&A projects. Elvan regularly advises clients on corporate and commercial issues, including establishment of Turkish subsidiaries, corporate restructuring and restructuring of business, legal mergers and spin-offs and corporate governance. She also advises clients on individual and collective employment law matters, including implementation of management incentive schemes, strategy building on HR aspects of restructuring or closure of business, preparation and negotiation of individual and collective employment agreements and internal bylaws, dealings with the trade union as well as collective and individual termination of employees, including top management. Elvan has significant real estate practice expertise covering structuring of real estate development, including residential, commercial property and hotel development, drafting and negotiating relevant project agreements for developers and investors, as well carrying out legal land due diligence to determine whether the property is fit for its purpose. On the M&A side, Elvan has been actively advising clients in various industries for high profile and strategic transactions which includes cross border acquisitions and international joint ventures. She has been acting for foreign and Turkish private equity funds, pension plans, venture capitals and angel investors as well as strategic investors in their investments and acquisitions in Turkey, as well as advising Turkish selling shareholders and families in their transactions of different sizes and sectors.

Paksoy handles minority investments, spin-offs, joint ventures and asset deals on the M&A side. It also deals with outsourcing, licensing, distribution, franchise agreements and corporate governance on the commercial side. It assisted Unilever with the €6.8bn sale of its spreads business to KKR & Co. and advised Sberbank of Russia on a share purchase agreement for the $3.2bn sale of Denizbank. Other clients include Linpac, Cisco Systems and The Dow Chemical Company. Elvan Aziz, Stéphanie Beghe Sonmez and Togan Turan head the team. Nihan Bacanak, Selen Terzi Özsoylu and Selin Barlın Aral were promoted to counsel.

Within: Employment

Paksoy handles reviewing and drafting employment documentation, contracts of employment, staff manuals, union matters, terminations and litigation. It continues to advise The Dow Chemical Company on daily employment matters, employee claims and litigation. Other clients include DAF Trucks and Sberbank. Elvan Aziz heads the team. Selen Terzi Özsoylu and Gülce Saydam Pehlivan were promoted to counsel and senior associate, respectively.

Paksoy advises clients on drafting and negotiation of contracts, lease and construction agreements, hotel management, EPCs and O&M agreements. Other areas of expertise include compliance, zoning and permits. Akbank, Akfen, Serka İnşaat and Alfardan Group all instruct the team, headed by real estate expert Elvan Aziz and Zeynel Tunç, who specialises in construction. Selin Barlın Aral was promoted to counsel.

    Squeeze-out and sell-out rights in Turkish public companies are regulated by the Communiqué on Squeeze-Out and Sell-Out Rights (the " Communiqué ") published in the Official Gazette dated 2 January 2014 effective as of 1 July 2014. The Communiqué was issued by the Capital Markets Board of Turkey (the " CMB ") in accordance with the Capital Markets Law and regulates the right to squeeze-out minority shareholders by the controlling shareholder and the minority shareholders' rights to exit the public company by selling their shares to the majority shareholder.
