The firm

Ivanyan and Partners was established in 2006 by a group of attorneys and political advisors to represent the interests of corporate, private, and public clients. From the very beginning, the strong suit of the firm has been the ability to guide complex investment projects that require a combination of legal expertise, advocacy skills, and knowledge of the applicable regulatory environment when dealing with state authorities.

Today, 60+ attorneys in the firm’s offices in Moscow and St Petersburg render advice on M7A and other corporate transactions, domestic and cross-border dispute resolution, infrastructure & PPP projects, private wealth and tax issues arsing from clients’ activities around the globe. The firm’s client base includes large and mid-sized companies from diverse industries – both Russian and international – institutional investors, and banks, as well as HNWIs/UHNWIs and non-profit organisations.

At the same time, its international practice has become the hallmark of the firm. Areas of practice

Banking and finance: the practice advises on both providing and attracting financing, including working capital facilities, project and PPF financing, acquisition of assets and stakes, debt refinancing and restructuring, etc.

Competition/antitrust: focused mainly on merger control issues and competition-related disputes, the practice serves companies from diverse industries, notably oil and gas, energy, and pharmaceuticals. Key types of work include merger control and strategic investment filings in the context of M&A and other corporate projects, advice on public procurement issues, and disputes with federal and regional competition authorities.

Corporate/M&A: the practice renders a full range of services related to corporate, securities, and contractual issues, including public and private M&A, securities, contractual transactions, corporate structuring and governance, licensing, competition law issues, and insolvency and liquidation.

Domestic dispute resolution: the firm’s lawyers represent companies and private clients in Russian state courts, as well as in commercial arbitration tribunals, mainly in major commercial disputes. These typically include disputes out of SHA and on mandatory share buyouts, challenging corporate transactions/actions, debt recovery out of, eg supply, loan, or construction agreements, foreclosures, etc. Another focus is challenging statutory actions and tax-, competition-, and IP- related disputes before state regulatory authorities.

Energy and natural resources: the team advises investors, traders, engineering and transportation companies, and state authorities on structuring and implementing large-scale exploration, construction, and field projects. Key types of work include drafting and negotiating PSAs, EPC contracts, and drilling and service contracts; providing advice on related regulatory and licensing issues; and advising on sector-specific corporate, finance, and litigation issues.

Foreign and Russian regulatory and compliance: the practice advises globally operating companies on compliance with EU and member state sanction policies and US sanctions, including OFAC- and EAR-related matters, as well as local and foreign investors on Russian regulatory issues, eg investments in strategic companies. The team also advises on issues of AML legislation. Another focus is the design, upgrade, and implementation of compliance systems and policies.

Insolvency/restructuring: the firm regularly represents distressed businesses from diverse industries (eg trading, construction, or mining)and their creditors in large-scale and complex bankruptcy litigation, both nationally and transnationally, and advise on debt restructuring, legal aspects of crisis management and financing, and company reorganisation..

Intellectual property: the firm handles IP matters – both contentious and non-contentious – in Russia and worldwide. The service includes patent, trade mark, and copyright litigation, and advice on management of trade mark portfolios, public policy issues and advertising regulation.

International commercial litigation: the practice takes the lead in transnational disputes in a number of on- and off-shore jurisdictions. Key types of work include representing clients in commercial, corporate, real estate, and fraud-related litigation, as well as foreign investigations, asset tracing and recovery, and insolvency.

International public law: the firm is the focal point in Russia for practical competence in international public law litigation matters. In co-operation with leading foreign counsel, the firm’s lawyers act for public clients in various proceedings before international courts, eg for the Russian state in several disputes before the ECHR and ICJ.

Private client: the practice advises [ultra] high-net-worth individuals and families, their family offices, and their advisors on all legal and tax issues regarding asset, real estate, business, philanthropic, and succession planning and management.

Public policy and government relations: the practice specialises in legal aspects of communications between large corporations and federal and regional state bodies. Key types of work include legislative and regulatory intelligence and risk assessment, government advocacy, working out and drafting aspects of prospective regulations and legislation, and advising on regulations and government programs.

Real Estate and Investment: the team leads on large and mid-sized real asset investment projects in Russia and abroad. Services rendered range from setting up investment structures in various jurisdictions to advice on real estate transactions, financing, and management; land water, and surface rights; development, industrial construction, and PPP projects; environmental and regulatory compliance; tax structuring; and real estate dispute resolution.

Tax: a standalone practice within the firm, the department provides all-around tax planning advice for corporations and private clients. Key types of work include tax structuring of domestic and cross-border M&A transactions, and wealth planning for UHNWIs/HNWIs, as well as tax disputes with a strong emphasis on pre-trial dispute resolution.
