Rodger is based in the Al Khobar office of LFSH, providing a wide range of corporate, commercial, and finance legal advisory services to Saudi and international clients.

Rodger’s extensive international transactional and project experience spans 40 years of corporate/commercial transactional work, including corporate, mergers & acquisitions, privatizations/PPP, commercial, banking and finance, corporate finance, funds, public offers, joint ventures, competition law, construction contracts, large scale disputes and investigations, professional appointments, risk and compliance, with particular focus on Saudi Arabia and related GCC markets.

Recent key transactions:

• MIS: KSA counsel to quoted KSA information technology company in relation to its joint venture with NEOM.

• Tharawat Foundry & Industrial Company (TFIC): advised TFIC on its exit from a complex joint venture in the KSA with a Japanese partner culminating in the negotiation and closing of a share purchase agreement.

• Kubota Saudi Arabia Limited: advised the KSA shareholders on the sale of its strategic stake in the company to its foreign joint venture partner.

• Hutchison Port Holdings: lead KSA adviser in various projects including: advising on strategic options related to the buy-out of the other shareholders in a KSA investee company, negotiation of the joint venture to operate the dry port and logistics zone in the King Salman Energy Park and advising Jazan Port.

• Siemens: lead KSA counsel in connection with its KSA joint venture.

• Islamic Corporation for the Development of the Private Sector (ICD): lead adviser to ICD in connection with various ICD projects in Saudi Arabia.

• Airbus: lead adviser in relation to the closedown of a KSA subsidiary.

• ALBAIK: lead KSA counsel in connection with various projects in Saudi Arabia as well as advising on opportunities in other GCC countries and beyond.

• M&A: lead adviser on various M&A transactions in KSA.
